Projections and Assumptions Sample Clauses

The Projections and Assumptions clause defines how future estimates, forecasts, or expectations are presented and relied upon within an agreement. It typically clarifies that any forward-looking statements, such as financial projections or business assumptions, are based on current information and reasonable judgment but are not guarantees of future performance. This clause helps manage expectations and limits liability by making clear that actual results may differ from projections, thereby protecting parties from claims if outcomes do not match initial assumptions.
Projections and Assumptions. The financial projections contained in the Business Plan have been prepared based on good faith estimates and assumptions believed by the Borrower to be reasonable and attainable at the time made, it being recognised by Finance Parties that such projections as to future events are not to be viewed as facts and are subject to significant uncertainties and contingencies many of which are beyond the control of the Obligors and that actual results during the period or periods covered by any such projections may differ from the projected results.
Projections and Assumptions. The Purchaser acknowledges that certain information provided to the Purchaser was based on projections, and such projections were prepared based on assumptions and estimates that are inherently uncertain and are subject to a wide variety of significant business, economic and competitive risks and uncertainties that could cause actual results to differ materially from those contained in the projections. The Purchaser acknowledges that such information and projections were prepared without the participation of the Placement Agents and that the Placement Agents do not assume responsibility for independent verification of, or the accuracy or completeness of, such information or projections. It is acknowledged that the Purchaser is relying on the Company’s representations, warranties and covenants contained in this Agreement.
