Provincial Representations Clause Samples
Provincial Representations. The Province represents and warrants to the shíshálh Nation and kwikwil, with the intent and understanding that they will be relied on by shíshálh Nation and kwikwil in entering into this Agreement, that:
a) it has the legal power, capacity and authority to enter into this Agreement;
b) on satisfaction or waiver of the conditions precedent under 5.1 and 5.2, it will have the legal power, capacity and authority to transfer the fee simple title to the Lands to shíshálh Nation or kwikwil as contemplated by this Agreement; and
c) this Agreement has been duly authorized, executed and delivered by the Province.
Provincial Representations. British Columbia represents and warrants to Nak’azdli that it has the legal authority to enter into this Agreement and to carry out its obligations in accordance with the terms of this Agreement.
Provincial Representations. The Province represents and warrants to G-N with the intent and understanding that they will be relied on by G-N in entering into this Agreement, that it has the authority to enter into this Agreement and that this Agreement is a valid and binding obligation of the Province.
Provincial Representations. The Province represents and warrants to the Tsq’escen’ First Nation/CLB, with the intent and understanding that they will be relied on by the Tsq’escen’ First Nation/CLB in entering into this Agreement, that:
a) to the best of its knowledge, the Range Act agreements listed on Schedule 1 are all Range Act agreements in the Tsq’escen’ First Nation/CLB Stewardship Area that overlap with proposed NStQ Treaty Settlement Lands;
b) it has the legal power, capacity and authority to enter into this Agreement;
c) it has appropriated sufficient monies to enable it to make the expenditures to conclude the Asset Purchase Agreement, the Offers to Purchase and to provide the first year operating costs as described in section 7.1 of this Agreement; and
Provincial Representations. The Province represents and warrants to Kitselas, with the intent and understanding that they will be relied on by Kitselas entering into this Agreement, that:
a) it has the legal power, capacity and authority to enter into this Agreement;
b) on satisfaction or waiver of the conditions precedent under section 5.2, it will have the legal power, capacity and authority to transfer the fee simple title to the Lands to a Designated Company or Kitselas as contemplated by this Agreement; and c) this Agreement is a valid and binding obligation of the Province.
Provincial Representations. British Columbia represents and warrants to Kitselas, with the intent and understanding that they will be relied on by ▇▇▇▇▇▇▇▇ in entering into this Agreement, that:
a. it has the legal power, capacity and authority to enter into this Agreement;
b. it has taken all necessary actions and has obtained all necessary approvals to enter into this Agreement; and
c. this Agreement is valid and binding obligation upon it.
Provincial Representations. The Province represents and warrants to the Songhees Indian Band, with the intent and understanding that they will be relied on by the Songhees Indian Band in entering into this Agreement, that:
a) it has the legal power, capacity and authority to enter into this Agreement; and
b) on satisfaction or waiver of the conditions precedent under 5.2, it will have the legal power, capacity and authority to transfer the fee simple title to the Lands to a Designated Company as contemplated by this Agreement.
Provincial Representations. The Province represents and warrants to ▇▇▇ ▇▇▇ Kum, with the intent and understanding that they will be relied on by ▇▇▇ ▇▇▇ Kum in entering into this Agreement, that:
a) it has the legal power, capacity and authority to enter into this Agreement; and
Provincial Representations. The Province represents and warrants to the Nisga’a Nation, with the intent and understanding that such representations and warranties will be relied on by the Nisga’a Nation in entering into this Agreement, that it has the authority to enter into this Agreement and that this Agreement is a valid and binding obligation of the Province.
Provincial Representations. The Province represents and warrants to Tsleil- Waututh, with the intent and understanding that Tsleil-Waututh will rely on those representations in entering into this Agreement:
a) that it has the legal power, capacity and authority to enter into this Agreement;
b) subject to the terms and conditions of this Agreement it has the legal power, capacity and authority to carry out its obligations as set out in this Agreement; and
c) that this Agreement is a valid and binding obligation of the Province.
