Provision of ELMS Data Clause Samples

The 'Provision of ELMS Data' clause requires one party to supply data from an Enterprise Learning Management System (ELMS) to another party, typically for purposes such as monitoring, reporting, or compliance. This may involve sharing user activity logs, course completion records, or other relevant educational data in a specified format and timeframe. The core function of this clause is to ensure that necessary information is made available to support oversight, performance evaluation, or contractual obligations related to the use of the ELMS.
Provision of ELMS Data. (a) The User must provide ELMS Data for each Demand Customer Delivery Point. (b) If the User is required to provide ELMS Data for a Delivery Point and has not done so, ActewAGL may (acting reasonably) determine a Load Type or Load Types for that Delivery Point or any Quantity of Gas at that Delivery Point. (c) The User may request a copy of its ELMS Data for the Delivery Points under this Agreement at any time. Any such request must be in writing. (d) Subject to ActewAGL’s obligations to keep ELMS Data confidential, ActewAGL must provide the User with a copy of ELMS Data it has in respect of the User’s Delivery Points (or if it does not have ELMS Data for those Delivery Points, notify the User accordingly) within a reasonable time of receiving the User's request pursuant to clause 23.6(c). If ELMS Data is confidential to a third party (including another Network User) and ActewAGL is not able to confirm that it has written consent to disclose that ELMS Data, ActewAGL is not obliged to disclose that ELMS Data to the User, but must notify the User that it is unable to disclose that information. (e) The User may ask ActewAGL to update the ELMS Data for Delivery Points under this Agreement at any time. ActewAGL is obliged to make such a change only if the User provides evidence to ActewAGL's reasonable satisfaction justifying any changes requested. (f) ActewAGL may ask the User to: (i) confirm and/or update the ELMS Data for that User’s Delivery Points at any time; and (ii) provide evidence to ActewAGL's reasonable satisfaction justifying the ELMS Data provided. (g) The User must comply with a request from ActewAGL pursuant to clause 23.6(f) within 20 Business Days of receiving that request. (h) The User warrants that all ELMS Data it provides to ActewAGL is accurate and complete. The User must advise ActewAGL as soon as practicable after becoming aware that any ELMS Data it has provided to ActewAGL is no longer accurate or complete. (i) If, in the course of implementing Load Shedding, or a simulation of Load Shedding, ActewAGL determines that contact information contained in the ELMS Data for a Delivery Point is inaccurate, ActewAGL may update the ELMS Data for that Delivery Point in accordance with information provided by a Customer. ActewAGL may (but is not obliged to) request the User to confirm that ELMS Data in accordance with clause 23.6(f).   • Provision of Services (a) The HSP will provide the Services in accordance with, and otherwise comply with: (1) the terms of this Agreement; (2) Applicable Law; and

  • Provision of Services by Third Parties The Administrator shall, to the extent it determines that it would be advisable in connection with or incidental to the activities contemplated hereby, arrange for and coordinate the services of other professionals, experts and consultants to provide any or all of the Services, in which case, the costs and expenses of such third parties for providing such services shall be borne by the Administrator other than as set forth in Section 3; it being understood that the Administrator shall not charge to the Issuer any fees in addition thereto with respect to such outsourced Painting-Level Services that are described in Section 1(a)(i) and Entity-Level Services described in Section 1(a)(ii), but the Administrator shall be entitled to reimbursement for third party costs incurred in connection with Non-Routine Services described in Section 1(a)(iii) as set forth in Section 3(b). Reimbursement for Non-Routine Services shall be reimbursed by the Issuer out of the proceeds from a sale of the Painting.   • Provision of Documents The Company will furnish, at its own expense, to the Underwriters and their counsel copies of the Registration Statement (one of which will be signed and will include all consents and exhibits filed therewith), and to the Underwriters and any dealer each Preliminary Prospectus, the Pricing Disclosure Package, the Prospectus, any Issuer Free Writing Prospectus and all amendments and supplements to such documents, in each case as soon as available and in such quantities as the Underwriters may from time to time reasonably request.
