Public Filing of this Agreement Clause Samples

The 'Public Filing of this Agreement' clause governs whether and how the agreement may be filed with public authorities, such as regulatory agencies or courts. Typically, this clause outlines the parties' rights and obligations regarding the disclosure of the agreement's contents, including whether confidential information must be redacted before filing. Its core function is to balance legal or regulatory requirements for public disclosure with the parties' interest in maintaining confidentiality, thereby preventing the unintended release of sensitive information.
Public Filing of this Agreement. This Agreement, or a memorandum of this Agreement, will, upon the written request of any Member, be recorded in the office of any governmental agency so requested, in order to give notice to third parties of the interests of the Members in the Company and this Agreement and the Company’s interest in the Property. Each Member hereby covenants and agrees with the requesting Member to execute such documents as may be necessary to perfect such recording.
Public Filing of this Agreement. The Parties acknowledge that either or both Parties may be obligated to file a copy of this Agreement or any Related Agreement with the Securities & Exchange Commission or other Government Authorities and each Party is hereby authorized to comply with such obligation; provided, that each Party shall have the right to review and comment upon such filing, such comments to be considered in good faith and to be included in any such filing unless the filing Party has a good faith belief that the inclusion of such comments or any proposed redactions would violate its disclosure obligations under applicable securities law, or would adversely effect its ability to ultimately obtain confidential treatment for such filing.
Public Filing of this Agreement. If either Party is required to file or disclose this Agreement or any portion thereof with the Toronto Stock Exchange, the United States Securities and Exchange Commission or any other securities exchange or governmental entity, such Party shall notify the other Party in writing and shall provide the other Party with at least seven (7) Business Days to request redactions thereof prior to making such filing or disclosure. The disclosing Party shall seek confidential treatment of any such proposed redactions timely made, to the extent consistent with law, and use reasonable efforts to procure confidential treatment of such proposed redactions pursuant to the Securities Act of 1933 or the Securities Exchange Act of 1934, in each case as amended, and the rules, regulations and guidelines promulgated thereunder, or any other applicable law or the rules, regulations or guidelines promulgated thereunder.
