Purchase Authorization Clause Samples

Purchase Authorization. With respect to any equipment as to which (i) Lessee has issued a purchase order to Lessor or (ii) Lessee and Lessor have executed a letter of intent, proposal or similar agreement outlining the cost, rent, term and other provisions, and providing for such equipment to be leased under a Schedule hereto, Lessee agrees that: (a) Lessor may order such equipment from a manufacturer or vendor thereof in Lessor's own name, and (b) in such case, Lessee will indemnify and hold Lessor harmless from and against all claims, actions and/or demands of said manufacturer or vendor resulting from any cancellation or termination of said purchase order in the event that the lease financing of said Equipment contemplated by the letter of intent, proposal or similar agreement is not consummated.

Purchase Authorization. Board represents and warrants that it has complied with any and all of its own requirements necessary to authorize the execution of all Purchase Agreements with Riverdeep and that the signing party(ies) is/are authorized to sign on behalf of and contractually bind the Board.

Purchase Authorization. Subject to the terms and conditions set forth herein, the Lender agrees to purchase from the Corporation and the Corporation hereby agrees to issue and sell to the Lender, the CEC Note in the principal amount of Twenty-Two Million Five Hundred Thousand Dollars ($22,500,000.00) and the Warrants for an aggregate purchase price of Twenty-Two Million Five Hundred Thousand Dollars ($22,500,000.00). Prior to the Closing (as hereinafter defined), the Corporation will: (a) duly authorize the issuance of the CEC Note and the Warrants to the Lender; and (b) duly authorize and reserve the shares of Common Stock to be issued on the exercise of the Warrants (the "Warrant Shares").

Purchase Authorization. School/District represents and warrants that it has complied with any and all of its own requirements necessary to authorize the execution of all Purchase Agreements with HMH and that the signing party(ies) is/are authorized to sign on behalf of and contractually bind the School/District without condition other than the terms of this Agreement.

Purchase Authorization. Prior authorization in writing by Coordinator will be required before Contractor will be reimbursed for any purchase order or subcontract exceeding $2,500 for any articles, supplies, equipment or services. Contractor must provide in the request for authorization all particulars necessary for evaluation of the necessity or desirability of incurring such cost, and as to the reasonableness of the price or cost. For purchase of any item exceeding such minimum dollar amount, three competitive quotations should be submitted with the request, or adequate justification provided in the absence of bidding.
