Purchaser Closing Certificate. Seller shall have received a certificate, duly executed by an authorized officer of Purchaser, certifying as to the matters set forth in Sections 7.3(a) and (b).

Purchaser Closing Certificate. The Seller shall have received a certificatecertificate signed on behalf of the Purchaser by the chief executive officer or the chief financial officer stating that the conditions specified in subsections (a), duly executed by an authorized officer of Purchaser, certifying as to the matters set forth in Sections 7.3(a(b) and (b)c) of this Section 2.03 have been satisfied.
