Qualification, Organization, Subsidiaries, etc Clause Samples

The 'Qualification, Organization, Subsidiaries, etc.' clause establishes the legal status and organizational structure of a party entering into an agreement. It typically requires the party to confirm that it is duly organized, validly existing, and in good standing under the laws of its jurisdiction, and may also require disclosure of any subsidiaries or related entities. For example, a corporation might need to state that it is incorporated in a specific state and list any companies it controls. This clause ensures that the parties are dealing with legitimate, properly constituted entities, thereby reducing the risk of disputes over authority or legal capacity to enter into the contract.
