Quality Release Sample Clauses

A Quality Release clause defines the conditions under which a party is released from liability or obligations related to the quality of goods or services provided. Typically, this clause specifies that once the receiving party has inspected and accepted the goods or services, the provider is no longer responsible for defects or quality issues discovered afterward. This mechanism ensures that any concerns about quality are addressed promptly and prevents ongoing disputes, thereby providing finality and certainty for both parties regarding quality-related responsibilities.
Quality Release. Product may not be delivered to Client until a person authorized by Provider having the necessary qualifications, experience and authority to oversee quality assurance of the manufacture and determine the suitability of individual batches for release under Applicable Law has (a) conducted analyses using the analytical methods agreed to in writing by the parties, (b) executed the Certificate of Analysis (i.e., the written test results of a batch that is tested against the applicable criteria in the Specifications, and confirmation the batch passed the test) applicable to the Product and such other batch documentation that may be requested by Client and (c) completed any other certifications or documents including but not limited to Certificate of Compliance and other activities that may be required to release the Product under Applicable Law and the Quality Agreement. Provider will deliver a Certificate of Analysis, Documentation, completed batch documentation, any investigation reports of any Out of Specification result or Manufacturing deviation, and Certificate of Compliance along with delivery of samples of the Product for review by Client. Notwithstanding the foregoing, at Client’s request, Provider may deliver Product in quarantine prior to delivery of the Certificate of Analysis, batch documentation, and Certificate of Compliance. The request must be accompanied by Client’s written acknowledgement that (a) the Product has been delivered without a Certificate of Analysis, batch documentation, and Certificate of Compliance (b) accordingly, the Product cannot be administered to humans until transmittal of the Certificate of Analysis, batch documentation, and Certificate of Compliance and (c) that Client nevertheless accepts full risk of loss, title and ownership of the Product with the exception for any case in which the batch fails to meet Specifications. The delivery of Product in quarantine will be subject to such testing requirements as Provider may reasonably require.
Quality Release. (a) Before delivery of any Fuel consignment, BNFL shall provide a document confirming that the Fuel meets the requirements of the Contract Specification identified in Appendix 3, said document shall be authorised in accordance with the Quality Assurance Programme. (b) Where the said Fuel is not compliant with the Contract Specification but has been accepted by BEG pursuant to Paragraph 10 of this Appendix, BNFL shall ensure that the said records on release/despatch shall identify clearly as a minimum those Fuel Elements to which the relevant concession approval applies, together with a reference to the relevant concession approval granted by BEG pursuant to Paragraph 10. (c) BNFL shall be responsible for issuing all records identified on the record schedule specified in Paragraph 8 of this Appendix, as may be required on release/despatch of the Fuel consignment and make these available to BEG prior to or with each Fuel consignment delivered to BEG and make available to BEG verification information as Agreed verifying that the Fuel is compliant with the Contract Specification. For the avoidance of doubt, the said verification information shall be part of the aforementioned record schedule.

Notwithstanding the foregoing, at Client’s request, Provider may deliver “restricted” Product prior to delivery of the Certificate of Analysis. The request must be accompanied by Client’s written acknowledgement that (i) the Product has been delivered without a Certificate of Analysis, (ii) accordingly, the Product cannot be administered to humans until transmittal of the Certificate of Analysis, and (iii) that Client nevertheless accepts full risk of loss, title and ownership of the Product. The delivery of such restricted Product will be subject to such testing requirements as Provider may reasonably require.

  • Quality Agreement Concurrently with execution of this Agreement, the Parties will enter into an agreement that details the quality assurance obligations of each Party with respect to the Manufacture and supply of Supplied Products under this Agreement (the “Quality Agreement”). Each Party shall perform its obligations under the Quality Agreement in accordance with the terms and conditions thereof. In the event of a conflict between the terms of the Quality Agreement and the terms of this Agreement, the provisions of the Quality Agreement shall govern.

  • Packing Specifications 7.3.1 A pack will contain a minimum of one message record or a maximum of 99,999 message records plus a pack header record and a pack trailer record. One transmission can contain a maximum of 99 packs and a minimum of one pack.

  • Escrow Format Specification Deposit’s Format. Registry objects, such as domains, contacts, name servers, registrars, etc. will be compiled into a file constructed as described in draft-▇▇▇▇▇-▇▇▇▇▇▇▇-registry-data-escrow, see Part A, Section 9, reference 1 of this Specification and draft-▇▇▇▇▇-▇▇▇▇▇▇▇-dnrd-objects-mapping, see Part A, Section 9, reference 2 of this Specification (collectively, the “DNDE Specification”). The DNDE Specification describes some elements as optional; Registry Operator will include those elements in the Deposits if they are available. If not already an RFC, Registry Operator will use the most recent draft version of the DNDE Specification available at the Effective Date. Registry Operator may at its election use newer versions of the DNDE Specification after the Effective Date. Once the DNDE Specification is published as an RFC, Registry Operator will implement that version of the DNDE Specification, no later than one hundred eighty (180) calendar days after. UTF-8 character encoding will be used.
