RCI. The Consultant will introduce the Company’s principals to ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ ▇▇. and RCI Groupe (“RCI”) for the purposes of developing a mutually beneficial commercial relationship between the Company and RCI in which debt or equity financing is provided to the Company by RCI or its affiliates or involvement in future transactions is planned by RCI and the Company.
RCI. Each Venture shall negotiate an exchange agreement with Resort Condominiums International ("RCI") pursuant to which owners of Vacation Ownership Interests at each such Venture's Vacation Resorts shall have exchange rights to use Vacation Ownership Interests at the Vacation Resorts represented by RCI.
RCI. Subject to the Purchaser complying with the standard terms and conditions of RCI, as amended from time to time, the Purchaser shall receive membership in RCI from the effective date. The Purchaser shall be liable to pay the yearly membership levy and all other charges due to RCI on due date.
RCI. RCI is a diversified Canadian communications and media company engaged in cable television, high-speed Internet access and video retailing through its wholly-owned subsidiary ▇▇▇▇▇▇ Cable Inc.; in wireless voice, data and messaging services through its subsidiary ▇▇▇▇▇▇ Wireless Communications Inc.; in radio and television broadcasting, televised shopping, consumer magazines, and trade and professional publications through its wholly-owned subsidiary ▇▇▇▇▇▇ Media Inc.; and in sports entertainment through its wholly-owned subsidiary the Toronto Blue Jays Baseball Club. RCI also holds other interests including a pay-per-view movie service and investments in several specialty television channels. In addition, RCI holds interests in other companies for investment purposes. RCI. S exercise of its right to terminate pursuant to this Agreement shall in no way limit or impair its right to seek other legal or equitable remedies in connection with a breach by Affiliate or Association.
RCI. “Resort Condominiums International LLP. (“RCI”) conducts an exchange program made available to Owners at this resort. No joint venture, partnership or contract of agency exists between RCI and Northmont; however, Northmont is a party to an agreement with RCI through which the Northmont submits applications on behalf of Owners to become members of, and participate in, the RCI Points Exchange Program. RCI’s responsibility for representations concerning the RCI Points Exchange Program is limited to those representations made in materials supplied by RCI. While it is anticipated that Northmont and RCI will maintain an ongoing relationship, there is no assurance that the agreement between Northmont and RCI will continue. Similarly, RCI makes no representations as to the continued viability of these Vacation Properties or, if applicable, the multi-site timeshare plan. Your decision to purchase should be based primarily upon the benefits to be gained from ownership and use of your Vacation Interval Interest in the Vacation Properties, and if applicable, the multi-site timeshare plan, and not upon the RCI Points Exchange Program.”

  • School Closing In the event that school is closed for any reason and the School District does not require employees to perform services, employees shall be compensated as follows: Subd. 1. In the event school is closed for a full day, the School Board will have the authority to determine if, how, and when such time will be made up. If make-up time is required by the School Board but is not completed by the employee, the employee’s compensation shall be reduced by the number of hours the employee was paid for the closed day. If the School Board does not require make-up time, there shall be no reduction in pay for the day that school was closed.

  • School Closures The District may close schools for academic purposes or reduce programming due to public health, safety, severe weather or any other purpose as determined by the District. The District shall not owe Provider any compensation for times when services of Therapists are canceled, declined, or not required due to closure, reduction in programming, or exclusion of Therapists due to health risk assessment screenings or any other reason, and Provider agrees to indemnify District for Therapist claims arising from all such actions. Notwithstanding the foregoing, to the extent required by Section 10-20.56(d-15) of the School Code (105 ILCS 5/10-20.56(d-15)), when enforceable under law, the Parties understand that the District may determine it is required to pay Provider the daily, regular rate of pay and benefits for Therapists for any day of school closure or e-learning day if such closure precludes the Provider’s employees from performing its regularly scheduled duties and employees would have reported for work but for the closure, unless the day is rescheduled and the employees will be paid their daily, regular rate of pay and benefits for the rescheduled day when services are rendered. The Parties agree such payment constitute full satisfaction of Section 10-20.56(d-15). As a precondition to these payments being made, Provider shall provide an invoice for the foregoing pay and benefits costs; however, Provider will not include such pay and benefits costs for any school closure or e-learning day on any invoices until the last invoice of the school year in order to allow the District the opportunity to determine if the day will be rescheduled. When a payment is to be made by the District under this provision, Provider represents and warrants that it shall pay its employees their daily, regular rate of pay and benefits for any such school closure or e-learning day. Upon request, Provider shall provide the District with certified payrolls as evidence of compliance with this section. The District retains sole discretion to determine whether Section 10-20.56(d-15) applies to this Agreement or any day of school closure and, if the District determines such law is applicable, the District retains the discretion to determine if and when a school closure day is rescheduled. For purposes of this section, “school closures” shall not include holidays or other days of closure reflected on the District’s school calendar for which Provider is not scheduled to provide services under the Agreement.

  • School Closings In the event of severe weather, the superintendent shall give consideration to closing the ▇▇▇▇▇▇▇▇▇-▇▇▇▇▇ Regional Educational Service Agency administration building. In the event that employees are assigned to building(s) that are closed, they shall not be required to report. Employees assigned to building(s) that are open are expected to report. Scheduled days and hours of student instruction which are not held because of conditions not within the control of school authorities, such as inclement weather, utility power unavailability, water or sewer failure, fire, epidemics, mechanical breakdowns, or health conditions (as defined by city, county, or state health authorities) will be rescheduled as necessary to ensure instruction as prescribed by Michigan law. Employees shall be excused from reporting for school on those days and hours which are canceled due to the above conditions. The parties agree that this contract provision has been negotiated to comply with the provisions of the Revised School Code State School Aid Act and to ensure that the Agency and its constituent districts will incur no loss of state aid. Further, the parties recognize the District’s obligation to comply with requirements set forth by the State Board of Education respecting the number of “student instruction” days and hours as defined by that agency. In addition to any requirement of the State Aid Act to receive full state aid, the parties agree to reschedule lost days and hours of student instruction (attributable to the above conditions) to ensure the minimum number of instructional days and hours required by the Department of Education for both regular school year and extended year programs. Employees will receive their regular pay for days and hours that are canceled but shall work on the rescheduled days and hours with no additional compensation except that employees who worked on canceled days shall not be subject to rescheduled days and hours.
