Common use of Reaffirmation of Representations and Warranties by each Originator Clause in Contracts

Reaffirmation of Representations and Warranties by each Originator. On each day that a new Receivable is sold to the Buyer hereunder, such Originator shall be deemed to have certified that all representations and warranties of such Originator hereunder are true and correct in all material respects (or if already qualified by materiality or Material Adverse Effect, in all respects) on and as of such day as though made on and as of such day, except for representations and warranties which apply as to an earlier date (in which case such representations and warranties shall be true and correct in all material respects (or if already qualified by materiality or Material Adverse Effect, in all respects) as of such earlier date).
