Receiving Party Personnel Clause Samples

The "Receiving Party Personnel" clause defines the obligations and restrictions placed on the employees, contractors, or agents of the party receiving confidential information under an agreement. Typically, this clause specifies that only those personnel who need access to the confidential information for legitimate business purposes may receive it, and that such individuals must be bound by confidentiality obligations at least as strict as those in the main agreement. By clearly outlining who within the receiving party's organization can access sensitive information and under what conditions, this clause helps prevent unauthorized disclosure and ensures that confidential data is handled responsibly.
