Receiving Party’s representatives. The Receiving Party shall take all steps and measures to minimise the risk of disclosure of the Confidential Information and by ensuring that only such of the Receiving Party's Representatives who are directly involved in the Purpose and whose duties require them to possess the Confidential Information shall have access to the Confidential Information on a need-to-know basis. In any event, the Receiving Party shall be responsible for any breach of the terms of this Agreement by any of the Receiving Party's Representatives and shall take all measures (including but not limited to court proceedings) to restrain the Receiving Party's Representatives from prohibited or unauthorised disclosure or use of the Confidential Information.
Receiving Party’s representatives. Receiving Party will be responsible for any failure of its Representatives to observe the terms of this Agreement. For the purpose of determining whether any Representative has failed to observe the terms of this Agreement, each Representative will be held to the same standard as if such Representative were a direct party to this Agreement.
Receiving Party’s representatives. 3.1. Each Receiving Party may disclose Confidential Information to a Representative of the Receiving Party requiring the information for Approved Purposes or to its legal advisers in order to advise the Receiving Party in relation to its rights under this Agreement, but in each case, only to the extent necessary for the relevant purpose, and provided that such persons are placed under obligations no less onerous than those set out in this Agreement. 3.2. Each Receiving Party shall remain responsible for the actions of its Representatives (whether or not still employed or engaged in that capacity) and shall indemnify the Disclosing Party in relation to any act or omission of its Representatives which, if done or omitted to be done by a Receiving Party, would be a breach of a Receiving Party’s obligations under this Agreement.

  • City’s Representative The City hereby designates ▇▇▇ ▇▇▇▇▇, or his or her designee, to act as its representative for the performance of this Agreement (“City’s Representative”). City’s Representative shall have the power to act on behalf of the City for all purposes under this Contract. Consultant shall not accept direction or orders from any person other than the City’s Representative or his or her designee.

  • Receiving Party Personnel The receiving Party will limit access to the Confidential Information of the disclosing Party to those of its employees, attorneys and contractors that have a need to know such information in order for the receiving Party to exercise or perform its rights and obligations under this Agreement (the “Receiving Party Personnel”). The Receiving Party Personnel who have access to any Confidential Information of the disclosing Party will be made aware of the confidentiality provision of this Agreement, and will be required to abide by the terms thereof. Any third party contractors that are given access to Confidential Information of a disclosing Party pursuant to the terms hereof shall be required to sign a written agreement pursuant to which such Receiving Party Personnel agree to be bound by the provisions of this Agreement, which written agreement will expressly state that it is enforceable against such Receiving Party Personnel by the disclosing Party.

  • Parties’ Representatives Both Parties shall ensure that throughout the term of this Agreement, a duly appointed Representative is available for communications between the Parties. The Representatives shall have full authority to deal with all day-to-day matters arising under this Agreement. If a Party’s Representative becomes unavailable, the Party shall promptly appoint another Representative. Acts and omissions of Representatives shall be deemed to be acts and omissions of the Party. Owner and CAISO shall be entitled to assume that the Representative of the other Party is at all times acting within the limits of the authority given by the Representative’s Party. Owner’s Representatives and CAISO’s Representatives shall be identified on Schedule J.

  • Receiving Party The entity receiving the capacity and energy transmitted by the Transmission Provider to Point(s) of Delivery.
