Recognition and Board Rights Clause Samples

The 'Recognition and Board Rights' clause establishes the formal acknowledgment of certain parties, such as investors or stakeholders, and grants them specific rights related to participation in the company's board of directors. Typically, this clause outlines who is entitled to appoint or nominate board members, attend board meetings, or receive board materials, often based on shareholding thresholds or investment amounts. Its core practical function is to ensure that key parties have a voice in the company's governance, thereby protecting their interests and promoting transparency in decision-making.
