Recovery of Losses as Result of Event of Default. Where the Buyer terminates the Agreement as a result of Event of Default by Seller pursuant to Section 8.1 (Events of Default by Seller), the Buyer may recover from the Seller any and all costs, losses and expenses reasonably incurred by the Buyer as a result of such termination, including where relevant such costs, losses and expenses associated with appointing a replacement Seller. Such costs, losses and expenses shall be payable by the Seller to the Buyer provided that the liability of the Seller in respect of this Section 8.10.3 shall not exceed the Maximum Liability of the Seller provided in Section 9.1.2.
