Common use of Regulatory Requests Clause in Contracts

Regulatory Requests. If a Receiving Party receives a Regulatory Request to disclose any Confidential Information of the Disclosing Party, the Receiving Party shall, to the extent permitted by Applicable Law: (a) notify the Disclosing Party thereof promptly after receipt of such Regulatory Request; (b) consult with the Disclosing Party with respect to such Regulatory Request; and (c) if disclosure is required or deemed advisable based on advise of legal counsel of the Receiving Party, at the Disclosing Party's request and expense, reasonably cooperate with the Disclosing Party in any attempt by the Disclosing Party to obtain a protective order or other reliable assurance that confidential treatment will be accorded to the Confidential Information of the Disclosing Party.
