Reliability Failure Sample Clauses

A Reliability Failure clause defines the circumstances under which a party's failure to meet specified reliability standards or performance metrics constitutes a breach of contract. Typically, this clause outlines the minimum acceptable levels of service or product reliability, such as uptime percentages for software or consistent delivery schedules for goods, and details the process for identifying and documenting failures. Its core practical function is to set clear expectations for performance and provide a mechanism for addressing and remedying substandard reliability, thereby protecting the interests of the party relying on consistent service or product delivery.
Reliability Failure. Any failure that occurs after the first [*] of operation after installation at EMC's customer's site. [*]
Reliability Failure. Any failure that occurs after the first [*] of operation after installation at Sequent's customer's site. Reliability is measured as mean-time-between-failure(s) ("MTBF").
Reliability Failure. Any failure that occurs after the first [**] hours of operation at the EMC's customer's site. EMC metrics for reliability failures are: . Annualized Failure Rate (AFR). AFR is a % of confirmed failures per population shipped. . Annualized Rate of Return (ARR). ARR is a % of units returned (whether confirmed or not) per population shipped. . Failure in Time (FIT). FIT is a specification of failures per billion hours of operation. . Mean-Time-Between-Failures (MTBF). MTBF is the reciprocal of the sum of failure rates of all the components of a system, or it is the average of the time between failures in a population. . Mean-Time-Between-Product-Replacements (MTBPR). MTBPR is a measurement of hours of operation before a product replacement (whether confirmed or not).
Reliability Failure. Any failure that occurs after the [*] of [*] after [*].

Related to Reliability Failure

  • Equipment Failures In the event of equipment failures beyond the Administrator's control, the Administrator shall take reasonable and prompt steps to minimize service interruptions but shall have no liability with respect thereto. The Administrator shall develop and maintain a plan for recovery from equipment failures which may include contractual arrangements with appropriate parties making reasonable provision for emergency use of electronic data processing equipment to the extent appropriate equipment is available.

  • Power Failure Power Failure means the failure of power or other utility service if the failure takes place off the "residence premises". But if the failure results in a loss, from a Peril Insured Against on the "residence premises", we will pay for the loss caused by that peril.

  • Reliability Reliability targets (Mean Time Between Failures (MTBF)) are defined in the technical specifications as set out in the Contract. Notwithstanding any possible application of penalties relating to reliability defined in the Contract, Goods shall remain covered by the warranty defined in this Article 16 as long as the reliability commitments have not been reached.

  • Lenders’ Failure to Perform All Advances (other than Swing Loans and Agent Advances) shall be made by the Lenders contemporaneously and in accordance with their Pro Rata Shares. It is understood that (i) no Lender shall be responsible for any failure by any other Lender to perform its obligation to make any Advance (or other extension of credit) hereunder, nor shall any Commitment of any Lender be increased or decreased as a result of any failure by any other Lender to perform its obligations hereunder, and (ii) no failure by any Lender to perform its obligations hereunder shall excuse any other Lender from its obligations hereunder.

  • Epidemic Failure Warranty Supplier warrants all Products against Epidemic Failure for a period of three years after DXC’s Acceptance. Epidemic Failure means the occurrence of the same failure, defect, or non-conformity with an Order in 2% or more of Products within any three-month period.
