Removal or Substitution of Key Personnel. The individuals identified in Exhibit D shall perform the Key Personnel role and responsibilities stated therein and Contractor’s failure to maintain such individuals in their identified roles or perform the identified responsibilities shall entitle VPRA to assess the Liquidated Damages described in this Section 17.1.3. 1. Contractor shall not remove or substitute any Person identified as Key Personnel in Exhibit D or allow a position to remain vacant unless approved in writing by VPRA. If Contractor removes or substitutes an individual filling a Key Personnel position or the individual filling a Key Personnel position is not in compliance with the time commitment identified in Exhibit D for the Key Personnel role, unless otherwise authorized by VPRA in writing, VPRA may assess Liquidated Damages as follows: CM/GC Project Manager $250,000 Construction Manager $200,000 Quality Manager $200,000 Environmental Compliance Manager $200,000 Lead Cost Estimator $200,000 Lead Scheduler $200,000 Safety Manager $200,000 Additional Value Personnel $200,000
