Reporting of Unauthorized Use. Seller shall: 2.4.1 Report to MetroHealth’s designated privacy official, any unauthorized use or disclosure of PHI within 5 business days of becoming aware of the same, including breaches of unsecured PHI as required by the Regulations, and any Security Incidents; 2.4.2 Indemnify and hold MetroHealth harmless from all liabilities, costs, penalties, and damages arising out of or in any manner connected with the unauthorized use or disclosure by Seller of any PHI; and, 2.4.3 Permit MetroHealth to examine Seller's premises, records and practices, to the extent reasonably necessary to investigate any such report.

Reporting of Unauthorized Use. Business Associate shall promptly report to Covered Entity in writing within fifteen (15) days of discovery of any unauthorized acquisition, access, use or disclosure of PHI in violation of this Agreement or any law, or any Security Incident (“the Breach”). Such written notice to Covered Entity shall include the identity of each individual whose PHI was, or was reasonably believed to have been, breached; a brief description of what happened, including the date of the Breach and date of discovery of the Breach; a description of the PHI that was involved in the Breach; any steps the individual(s) should take to protect themselves from potential harm from the Breach; a description of what Business Associate is doing to investigate the breach, mitigate harm to the individual(s) and protect against further Breaches; and contact procedures for individual(s) to ask questions or get additional information. Business Associate shall implement and maintain sanctions against any employee, subcontractor, or agent who violates the requirements of this Agreement or the HIPAA regulations. Business Associate shall, as requested by Covered Entity, take steps to mitigate, to the extent practicable, any harmful effect that is known to Business Associate of a use or disclosure of PHI by Business Associate in violation of the requirements of this Agreement.
Reporting of Unauthorized Use. Consultant shall promptly notify Company in writing of any facts which may come to Consultant’s attention indicating or suggesting that any unauthorized person may have become aware of or obtained or may be using any portion of Confidential Information or is or may be soliciting or attempting to acquire any portions of Confidential Information without authorization from Company to do so.
Reporting of Unauthorized Use. Business Associate will promptly report to the Director of Privacy and Risk Management of MHS any unauthorized use or disclosure immediately upon becoming aware of it; and will indemnify and hold MHS harmless from all liabilities, costs and damages arising out of or in any manner connected with the disclosure by Business Associate of any PHI. Related to Reporting of Unauthorized Use

  • Unauthorized Use The Participating Institutions, or the Authorized Users shall not knowingly permit anyone other than the Authorized Users to access the Licensed Materials.

  • Authorized Use The Student Data shared pursuant to the Service Agreement, including persistent unique identifiers, shall be used for no purpose other than the Services outlined in Exhibit A or stated in the Service Agreement and/or otherwise authorized under the statutes referred to herein this DPA.

  • No Unauthorized Use Provider shall not use Student Data or information in a Pupil Record for any purpose other than as explicitly specified in this DPA.

  • Authorized User You may request us to issue a Card to an individual who has no financial responsibility under this Agreement. An Authorized User has the same access to your Account as you do, subject to any limitations we may impose. An Authorized User has no authority to add or delete Cardholders, request a replacement Card or terminate or modify this Agreement. You may terminate an Authorized User’s authority to access your Account at any time. To do this, you must return the Card to PenFed. You agree that you are responsible for all charges and cash advances made by an Authorized User, including charges made before the Card is returned, recurring charges, or charges made without the use of the Card initiated by the Authorized User after termination of the Authorized User’s access.

  • Unauthorized Use or Disclosure The Contractor shall notify COMMERCE within five (5) working days of any unauthorized use or disclosure of any confidential information, and shall take necessary steps to mitigate the harmful effects of such use or disclosure.
