Such designation shall specify the scope and limitations of the authority so delegated; provided, that the designee shall not change the terms or conditions of the contract, unless the COR is a warranted Contracting Officer and this authority is delegated in the designation.
(b) The COR for this contract is the Human Resources Officer.

XOMA shall, and shall cause its Affiliates (other than Seller) to, and Seller Parent shall, and shall cause Seller to, promptly (and in any event within five (5) Business Days of receipt thereof) provide to Purchaser copies of all Information and other statements, reports, audits, documents, notices, certificates and other written correspondence that any XOMA Entity or their respective Affiliates or its or their respective representatives receive or deliver to any Person pursuant to the Transaction Documents which contain material information regarding the Purchased Interest or any monetary payment on account thereof or the Additional Collateral (or any portion thereof).

REPORTS AND OTHER DELIVERABLES. (a) Aurizon Network will provide each Participating Funding User with a copy of all deliverables applicable to the Services (including a copy of the Report) within 7 days of completion of a Report or as specified in the relevant Approved W ork Plan.
(b) Without limiting clause 2, Aurizon Network must ensure that, on completion of the Services for a Stage, the relevant Report meets the requirements set out in the relevant Approved Work Program and this Agreement.
(c) A Funding User may, if it considers that a Report provided under clause 3.1(a) does not meet the requirements of this Agreement (including any requirements of the relevant Approved Work Plan), by notice, require Aurizon Network to rectify any such deficiencies and Aurizon Network must promptly on receipt of such notice, rectify such deficiencies in accordance with the notice.
