Common use of Reports by the Guarantor Clause in Contracts

Reports by the Guarantor. The Guarantor shall deliver to the Trustee, within 15 days after the Guarantor is required to file the same with the Commission, copies of the annual reports and of the information, documents and other reports, if any, that the Guarantor is required to file with the Commission pursuant to Section 13 or Section 15(d) of the Securities Exchange Act of 1934. Delivery of such reports, information and documents to the Trustee is for informational purposes only, and the Trustee’s receipt of the foregoing shall not constitute constructive notice of any information contained therein or determinable from information contained therein, including the Guarantor’s compliance with any of the covenants in the Indenture (as to which the Trustee is entitled to rely conclusively on Officers’ Certificates of the Company or the Guarantor).

The Guarantor shall deliver covenants to file with the Trustee, within 15 days after the Guarantor is required to file the same with the CommissionSEC, copies of the annual reports and of the information, documents documents, and other reports, if any, reports that the Guarantor is may be required to file with the Commission SEC pursuant to Section 13 or Section 15(d) of the Securities Exchange Act of 19341934 or pursuant to the SEC's rules or regulation. Delivery of such reports, information and documents to the Trustee is for informational purposes only, only and the Trustee’s 's receipt of the foregoing such shall not constitute constructive notice of any information contained therein or determinable from information contained therein, including the Issuer's or the Guarantor’s 's compliance with any of the its covenants in the Indenture hereunder (as to which the Trustee is entitled to rely conclusively exclusively on Officers’ Certificates of the Company or the GuarantorOfficer's Certificates)."
