Representation and Acknowledgment Clause Samples

The Representation and Acknowledgment clause serves to confirm that each party affirms certain facts or conditions and acknowledges their understanding of key terms or obligations within the agreement. Typically, this clause requires parties to state that they have the authority to enter into the contract, have reviewed its terms, and are not relying on outside promises not included in the document. Its core practical function is to ensure that all parties are fully informed and agree to the stated facts, reducing the risk of future disputes over misunderstandings or misrepresentations.
