Common use of REPRESENTATION AND INDEMNIFICATION Clause in Contracts

REPRESENTATION AND INDEMNIFICATION. (a) The COMPANY shall be deemed to make a continuing representation of the accuracy of any and all material facts, material information, and material data which it supplies to CONSULTANT and the COMPANY acknowledges its awareness that CONSULTANT will rely on such continuing representation in disseminating such information and otherwise performing their public relations functions. (b) CONSULTANT, in the absence of notice in writing from COMPANY, will rely on the continuing accuracy of material, information, and data supplied by the COMPANY. (c) COMPANY hereby agrees to indemnify CONSULTANT against, and to hold CONSULTANT harmless from, any claims, demands, suits, loss, damages, and etc. arising out of CONSULTANT's reliance upon the accuracy and continuing accuracy of such material facts, material information, and material data, unless CONSULTANT has been negligent in fulfilling its duties and obligations hereunder. (d) COMPANY hereby agrees to indemnify CONSULTANT against, and to hold CONSULTANT harmless from, any claims, demands, suits, losses, damages, etc. arising out of CONSULTANT's reliance on the information supplied to CONSULTANT by the COMPANY and approved for public disclosure, unless CONSULTANT has been negligent in fulfilling their duties and obligations hereunder.

(d) COMPANY hereby agrees authorizes CONSULTANT to indemnify CONSULTANT againstissue, in CONSULTANT'S sole discretion, corrective, amendatory, supplemental or explanatory press releases, shareholder communications and to hold CONSULTANT harmless from, any claims, demands, suits, losses, damages, etc. arising out of CONSULTANT's reliance on the information reports or data supplied to CONSULTANT by analysts, broker-dealers, market makers or other members of the COMPANY and approved for public disclosure, unless CONSULTANT has been negligent in fulfilling their duties and obligations hereunderfinancial community.

(c) COMPANY The Company hereby agrees to indemnify CONSULTANT the Consultant against, and to hold CONSULTANT the Consultant harmless from, any claims, demands, suits, loss, damages, and etc. arising out of CONSULTANTthe Consultant's reliance upon the accuracy and continuing accuracy of such material facts, material informationmaterial, information and material data, unless CONSULTANT the Consultant has been negligent in fulfilling its his duties and obligations hereunder. (d) COMPANY The Company hereby agrees to indemnify CONSULTANT the Consultant against, and to hold CONSULTANT the Consultant harmless from, any claims, demands, suits, lossesloss, damages, etc. arising out of CONSULTANTthe Consultant's reliance on the general availability of information supplied to CONSULTANT by the COMPANY consultant and approved for public disclosurethe Consultant's ability to promulgate such information, unless CONSULTANT the Consultant has been negligent in fulfilling their his duties and obligations hereunder. (e) The Company hereby authorizes the Consultant to issue, in the Consultant's sole discretion, corrective, amendatory, supplemental or explanatory press releases, shareholder communications and reports, or data supplied to analysts, broker-dealers, market makers or other members of the financial community. (f) The Company shall endeavor to appoint and nominate the Consultant to be a member of the Company's Board of Directors during the Term.

(c) The COMPANY hereby agrees to indemnify CONSULTANT Consultant against, and to hold CONSULTANT Consultant harmless from, any claims, demands, suits, losslosses, damages, and etc. arising out of CONSULTANT's CONSULTANTS reliance upon the accuracy and continuing accuracy of such material facts, material information, and material data, unless CONSULTANT Consultant has been negligent in fulfilling its duties and obligations hereunder. (d) The COMPANY hereby agrees to indemnify CONSULTANT Consultant against, and to hold CONSULTANT Consultant harmless from, any claims, demands, suits, losses, damages, etc. arising out of CONSULTANT's CONSULTANTS reliance on the information general availability of infonnation supplied to CONSULTANT by the COMPANY and approved for public disclosure, Consultant unless CONSULTANT Consultant has been negligent in fulfilling their duties and obligations hereunder. (e) OThe COMPANY hereby authorizes Consultant to issue correctly; amendatory, supplemental, or explanatory, shareholder communications and reports, or data supplied to analysts, broker-dealers, market makers, or other members of the financial community.

(b) CONSULTANT, in the absence of notice in writing from COMPANY, will rely on the continuing accuracy of material, information, and data supplied by the COMPANY. (c) COMPANY hereby agrees to indemnify CONSULTANT against, and to hold CONSULTANT harmless from, any claims, demands, suits, loss, damages, and etc. arising out of CONSULTANT's reliance upon the accuracy and continuing accuracy of such material facts, material material, information, and material data, unless CONSULTANT has been negligent in fulfilling its the duties and obligations hereunder. (d) COMPANY hereby agrees authorizes CONSULTANT to indemnify CONSULTANT againstissue, in CONSULTANT'S sole discretion, corrective, amendatory, supplemental, or explanatory press releases, shareholder communications and to hold CONSULTANT harmless fromreports, any claims, demands, suits, losses, damages, etc. arising out of CONSULTANT's reliance on the information or data supplied to CONSULTANT by analysts, broker-dealers, market makers, or other members of the COMPANY and approved for public disclosure, unless CONSULTANT has been negligent in fulfilling their duties and obligations hereunderfinancial community.
