The representations and warranties of ADAC and Sub contained in this Agreement and in each of the other instruments and documents delivered to the Company and the Shareholders' Representative in connection with the transactions contemplated hereby shall have been accurate in all material respects as of the date of this Agreement and as of the Closing Date as if made on and as of the Closing Date.
