Common use of Representations and Warranties of the Authority Clause in Contracts

Representations and Warranties of the Authority. The Authority represents and warrants to the Mine Operator that: (a) it has full power and authority to execute, deliver and perform its obligations under this Agreement and to carry out the transactions contemplated herein and that it has taken all actions necessary to execute this Agreement and exercise its rights and perform its obligations under this Agreement; (b) it has taken all necessary actions under Applicable Laws to authorise the execution, delivery and performance of this Agreement; (c) it has the financial standing and capacity to perform its obligations under this Agreement; (d) this Agreement constitutes a legal, valid and binding obligation enforceable against it in accordance with the terms hereof; (e) it has no knowledge of any violation or default with respect to any order, writ, injunction or any decree of any court or any legally binding order of any Government Instrumentality which may result in a Material Adverse Effect; and (f) it has complied with Applicable Laws in all material respects .

Representations and Warranties of the Authority. 7.2.1. The Authority represents and warrants to the Mine Operator Concessionaire that: (a) it has full power and authority to execute, deliver and perform its obligations under this Agreement and to carry out the transactions contemplated herein and that it has taken all actions necessary to execute this Agreement and Agreement, exercise its rights and perform its obligations obligations, under this Agreement; (b) it has taken all necessary actions under the Applicable Laws to authorise the execution, delivery and performance of this Agreement; (c) it has the financial standing and capacity to perform its obligations under this Agreement; (d) this Agreement constitutes a legal, valid and binding obligation enforceable against it in accordance with the terms hereof; (e) it has no knowledge of any violation or default with respect to any order, writ, injunction or any decree of any court or any legally binding order of any Government Instrumentality which may result in a Material Adverse Effectany material adverse effect on the Authority’s ability to perform its obligations under this Agreement; and (f) it has complied with Applicable Laws in all material respects respects.

The Authority represents represents, warrants and warrants covenants to the Mine Operator Contractor that: (a) it has full power and authority to execute, deliver and perform its obligations under this Agreement Contract and to carry out the transactions contemplated herein and that it has taken all actions necessary to execute this Agreement and Contract, exercise its rights and perform its obligations obligations, under this AgreementContract; (b) it has taken all necessary actions under Applicable Laws to authorise the execution, delivery and performance of this AgreementContract; (c) it has the financial standing and capacity to perform its obligations under this AgreementContract; (d) this Agreement Contract constitutes a legal, valid and binding obligation enforceable against it in accordance with the terms hereof; (e) it has no knowledge of any violation or default with respect to any order, writ, injunction or any decree of any court or any legally binding order of any Government Instrumentality which may result in a any Material Adverse EffectEffect on the Authority's ability to perform its obligations under this Contract; and (f) it has complied good, legal and valid right and title to the Site, and has the power and authority to handover the Site to the Contractor for the development of the Project in accordance with Applicable Laws in all material respects the terms of this Contract.

The Authority represents and warrants to the Mine Operator Concessionaire that: (a) a. it has full power and authority to execute, deliver and perform its obligations under this Agreement and to carry out the transactions contemplated herein and that it has taken all actions necessary to execute this Agreement and Agreement, exercise its rights and perform its obligations obligations, under this Agreement; (b) b. it has taken all necessary actions under the Applicable Laws to authorise the execution, delivery and performance of this Agreement; (c) c. it has the financial standing and capacity to perform its obligations under this Agreement; (d) d. this Agreement constitutes a legal, valid and binding obligation enforceable against it in accordance with the terms hereof; (e) e. it has no knowledge of any violation or default with respect to any order, writ, injunction or any decree of any court or any legally binding order of any Government Instrumentality which may result in a Material Adverse Effect; andany material adverse effect on the Authority’s ability to perform its obligations under this Agreement; (f) f. it has complied with Applicable Laws in all material respects respects; g. it has the right, power, and authority to manage and operate the Project up to the Appointed Date; and h. it has good and valid right to the Shared Site owned by the Authority and has power and authority to grant a license in respect thereto to the Concessionaire.

The Authority represents and warrants to the Mine Operator Contractor that: (a) it has full power and authority to execute, deliver and perform its obligations under this Agreement and to carry out the transactions contemplated herein and that it has taken all actions necessary to execute this Agreement and Agreement, exercise its rights and perform its obligations obligations, under this Agreement; (b) it It has taken all necessary actions under Applicable Laws to authorise authorize the execution, delivery and performance of this Agreement; (c) it It has the financial standing and capacity to perform its obligations under this Agreement; (d) this This Agreement constitutes a legal, valid and binding obligation enforceable against it in accordance with the terms hereof; (e) it has no knowledge of any violation or default with respect to any order, writ, injunction or any decree of any court or any legally binding order of any Government Instrumentality which may result in a Material Adverse Effect; andany material adverse effect on the Authority’s ability to perform its obligations under this Agreement; (f) it It has complied with Applicable Laws in all material respects respects; g) It has the right, power and authority to manage and operate the Project; and h) It shall procure good and valid right to the Site, and has power and authority to grant a license in respect thereto to the Contractor.
