Common use of Representations and Warranties of Vendor Clause in Contracts

Representations and Warranties of Vendor. Purchaser acknowledges that it is purchasing the Assets on an “as is, where is" basis, without representation and warranty and without reliance oil information provided to or oil of Purchaser by Vendor or any Third Party, except that and subject in all instances to the Permitted Encumbrances, Rights of First Refusal or any matter disclosed in any of the schedules hereto, Vendor makes the following representations and warranties to Purchaser:
