Representatives of Parties. Section 1. The County agrees that during the term of this Agreement it will deal only with the authorized representatives of the Union in matters requiring mutual consent or other official action called for by this Agreement. The Union agrees to notify the County of the name (s) of such authorized representatives as of the execution of this Agreement and replacement therefore during the term of this Agreement. Section 2. The Union likewise agrees that during the term of this Agreement the Union and the employees covered hereunder shall deal only with the County Manager or his designated representative in matters requiring mutual consent.

Representatives of Parties. All disputes arising under or in connection with this Agreement shall initially be referred to the representatives of each party who customarily manages the relationship between the parties. If such representatives are unable to resolve the dispute within five (5) Business Days after referral of the matter to them, the managers of the representatives shall attempt to resolve the dispute. If, after five (5) Business Days they are unable to resolve the dispute, senior executives of the parties shall attempt to resolve the dispute. If, after five (5) Business Days they are unable to resolve the dispute, the parties shall submit the dispute to the chief executive officers of the parties for resolution. Neither party shall commence legal proceedings with regard to a dispute until completion of the dispute resolution procedures set forth in this Section 11(a), except to the extent necessary to preserve its rights or maintain a superior position against other creditors or claimants.

The PBA likewise agrees that during the term of this Agreement the PBA and the employees covered hereunder shall deal only with the Authority’s designated representative or the Chief of Police or their designees in matters requiring mutual consent or other official action and specifically the PBA agrees that neither the PBA nor the employees covered hereunder shall seek to involve the Authority’s appointed officials in the administration of this Agreement or otherwise in the operation of the Authority’s Police Department, unless all administrative remedies have been exhausted.

Representatives of Parties. Employees. ------------------------------------- (a) On the Commencement Date, Operator shall appoint an individual representative, subject to Owner's prior approval (the "Plant General Manager") authorized and empowered to act for and on behalf of Operator on all matters concerning this Agreement and Operator's obligations hereunder; provided, however, in all such matters, Operator shall be bound by the written communications, directions, requests and decisions made by the Plant General Manager. Operator shall notify Owner in writing of the identity of the Plant General Manager. (c) In addition to the Plant General Manager, Operator's appointment of the Production Manager shall require Owner's prior approval. (d) Operator shall not, without Owner's consent, terminate the employment of any employee of Operator employed at the Facility Site for any reason other than cause, provided that Operator shall no longer be bound by this provision six (6) months after providing written notice to Owner of its decision not to be so bound.
