Request to Disclose. Where a request is made for permission to disclose confidential information hereunder, a reply thereto will be made within two Business Days after receipt of such request, failing which the Party requesting will be entitled to disclose such information in the limited circumstances specified in such request as if such consent had been given.

Furthermore, the Recipient agrees to exercise all reasonable efforts to obtain an order or other reliable assurances that confidential treatment will be afforded to any such portion of the disclosed Confidential Information which the Owner so designates.

Request to Disclose. In the event that the Recipient or anyone to whom the Confidential information has been supplied by the Recipient receives a request to disclose under the terms of a subpoena, order, civil investigative demand or similar process issued by a court of competent jurisdiction or by a governmental body all or any part of the Confidential Information, such Recipient shall: notify Bulgargaz promptly in writing of the existence, terms, and circumstances surrounding such request, and consult with Bulgargaz on the advisability of taking legally available steps to resist or narrow such request, and give Bulgargaz the opportunity to defend, limit or protect against such disclosure, and if disclosure of such information is lawfully required, furnish only that portion of the Confidential Information which is legally necessary, or, if disclosure is required for all circumstances, to require from the competent authority that the provided information is processed by observing the confidentiality regime between the Parties. Any public announcement relating to the existence of this Agreement and/or discussions between the Parties shall be agreed in advance between Bulgargaz and the Recipient in writing.
Request to Disclose. Where a request is made for permission to disclose confidential information hereunder, CMI shall reply thereto within three (3) Business Days after receipt of such request, failing which CMI shall be deemed to have consented to such disclosure in the limited circumstances specified in such request.

  • Right to Disclose With respect to any information, knowledge, or data disclosed to the Contractor by the Subcontractor, the Subcontractor warrants that the Subcontractor has full and unrestricted right to disclose the same without incurring legal liability to others, and that the Contractor shall have the full and unrestricted rights to use and publish the same as it may see fit.   • DUTY TO DISCLOSE If circumstances change or additional information is obtained regarding any of the representations and warranties made by the Applicant in the Application or this Agreement, or any other disclosure requirements, subsequent to the date of this Agreement, the Applicant’s duty to disclose continues throughout the term of this Agreement.

Each Company Stockholder will promptly provide any information reasonably requested by Acquiror or the Company for any regulatory application or filing made or approval sought in connection with the Transactions (including filings with the SEC).

Prior to any disclosures of a Party’s Confidential Information under this subparagraph, or if any third party or Governmental Authority makes any request or demand for any of the information described in this subparagraph, the disclosing Party agrees to promptly notify the other Party in writing and agrees to assert confidentiality and cooperate with the other Party in seeking to protect the Confidential Information from public disclosure by confidentiality agreement, protective order or other reasonable measures.
