Required Procedures. Motorola will have no obligation to defend or indemnify Freescale unless Freescale: (A) promptly notifies Motorola in writing as soon as reasonably practicable after Freescale first becomes aware of the Claim, but in no event later than 30 days after Freescale first receives notice of the Claim; and (B) gives Motorola sole control of the Claim and all requested assistance for resolving the Claim or defending the Suit. Motorola will not be liable for the settlement of a Claim made without Motorola’s prior written consent, unless Motorola breaches its duty to defend hereunder. If any suit against Freescale involves a Claim as well as other claims against Freescale, Motorola will nonetheless be fully responsible for defending, indemnifying and holding Freescale harmless from the Claim(s), and will provide reasonable cooperation to Freescale’s counsel with respect to the other claims asserted in such suit.
Required Procedures. Make any changes or revisions to the Required Procedures except in the manner permitted by the definition of Required Procedures.

Required Procedures. 9.6.1 To enter the program, a unit member shall file an “Intent to Participate in the Professional Growth Program” with the Human Resources Office. The starting date of each unit member’s program will be determined by the date the Intent form is approved by the Assistant Superintendent, Human Resources. 9.6.2 If a unit member wishes to receive Professional Growth credit, they must submit a written statement to the Assistant Superintendent, Human Resources, requesting Professional Growth credit for the course prior to enrolling in the course. The Assistant Superintendent, Human Resources, will review the statement submitted by the unit member, make a judgment as to the acceptability of the course for the Professional Growth credit, and advise the unit member of the decision. 9.6.3 Point credit will not be granted without a verified transcript from the school attended. Verification from an approved workshop course shall consist of a fee statement, program of activities, or registration receipt which must be submitted to the Assistant Superintendent, Human Resources, within thirty (30) calendar days after the activity. 9.6.4 The Professional Growth stipend will be paid annually in one (1) lump sum in June of each year. When a unit member retires, they shall be entitled to their Professional Growth stipend on a prorated basis. 9.6.5 Point credit must be earned by June 30 in order to qualify for a June stipend. Transcript verification of point credit must be submitted to the Human Resources Office no later than August 15. 9.6.6 All approved points will be verified by the Human Resources Office and recorded on the Permanent Growth Record of the employee as the course or training is completed.
Required Procedures. When using the mRDC Service, you represent that you shall follow the Bank’s Rules and the procedures set forth herein and as they may be amended from time to time, including, but not limited to: • Check payable to a person or entity that is not the owner of the account into which the deposit is being made • Check previously submitted using the mRDC Service or through any remote deposit capture service at or through another financial institution (“FI”) • Check payable to joint parties unless it is deposited into an account in the names of all the joint payees • Check with more than one endorsement where not all signatures/identities are known or immediately verifiable • Check previously converted into a “substitute check” as defined in FRB Reg. CC • Check containing a forged signature or any alteration of it • Check which you know or suspect is fraudulent, not properly payable or was not drawn or authorized by the owner of the drawer’s account • Check with any endorsement on its back that was not made in accordance with the Bank’s endorsement standards and requirements, as set forth below • Any U.S. Postal Money Order • Check drawn on financial institution outside the United States of America • Check that was “remotely created” • Check payable on sight or payable through Drafts, as defined in Reg. CC • Check not payable in U.S. currency • Check is stale dated, i.e., was drawn and dated more than 6 months prior to the date of deposit • Check or other item that is not acceptable under the Bank’s Rules, as amended from time to time • Check or other item not permitted under the Agreement or this Addendum Endorsements. You must sign and restrictively endorse any Check to be submitted through the mRDC Service using the words: "For mobile deposit only, # " (insert account number), include the signature(s) of all named payee(s) (assuming they are all of the account owners) and as the Bank otherwise directs.
Required Procedures. Prior to application to the Village to obtain the various approvals as may be required from time to time, Owners or their designated representative must present their development proposals to Declarants. Only after approval by the Declarants as provided for herein, may an Owner commence the approval and permit process with the Village.
