Requirement for registration Clause Samples

The 'Requirement for registration' clause establishes that certain actions, rights, or interests under an agreement are contingent upon being formally registered with a relevant authority or registry. In practice, this means that parties must complete specific registration procedures—such as filing documents with a government office or industry body—before they can exercise certain rights or claim legal recognition. This clause ensures that all necessary registrations are completed to validate the agreement's terms, thereby preventing disputes over unregistered interests and ensuring compliance with applicable laws or regulations.

If the notice is not complied with within ninety days the Directors may thereafter withhold payment of all Dividends, bonuses or other monies payable in respect of the Share until the requirements of the notice have been complied with.

Subject to the other provisions of this Section, the Corporation shall be obligated to provide Registration regardless of whether an underwritten offering is undertaken in connection with the Registration. The Corporation shall use its commercially reasonable efforts to cause the registration to remain effective until the later of (i) the expiration of any limitations on sale of the Registrable Securities by the Purchaser under Rule 144 and without the requirement for the Corporation to be in compliance with the current public information required under Rule 144 or, if earlier, the sale of all the Registrable Securities by the Purchaser under Rule 144, or (ii) the date on which all of the Registrable Securities covered thereby are disposed of under the Registration Statement in accordance with any method or methods of disposition stated therein. Notwithstanding anything to the contrary in this paragraph, the Corporation shall not be required to register any Registrable Securities pursuant to this paragraph during any period (not to exceed 180 days) following the closing of the completion of a distribution of securities offered by the Corporation that would cause the Corporation to breach a lock-up provision contained in the underwriting agreement for such distribution, and in such event the “Registration Deadline” shall be deemed automatically extended for such period.
