Research and Development Reports. 5.3.1 ViroPharma shall keep complete and accurate records of its activities conducted under Section 5.1.1 of this Agreement and the results thereof. Within *** (***) days after the end of each calendar year until the First Commercial Sale in the United States of a Product, ViroPharma shall prepare and provide Halozyme with a reasonably detailed written report of the activities conducted under this Agreement, and the results thereof, through such date of such report, to develop and obtain regulatory approvals to market Products. 5.3.2 Halozyme shall keep complete and accurate records of its activities conducted under Section 5.1.2 of this Agreement and the results thereof. Within *** (***) days after the end of each calendar year until the First Commercial Sale in the United States of a Product, Halozyme shall prepare and provide ViroPharma with a reasonably detailed written report of the activities conducted under this Agreement, and the results thereof, through such date of such report, to develop and obtain regulatory approvals to market Products.
