The Administrative Agents shall have received, in sufficient quantity for the Administrative Agents and the Lenders, certified copies of the resolutions of the Members, Management Board, Board of Directors or the equivalent thereof, as the case may be, of each of the Borrowers and their respective Material Subsidiaries approving the Credit Documents to which it is a party and of all documents evidencing other necessary corporate action and governmental approvals, if any, with respect to the execution, delivery and performance by such entities of the Credit Documents.
