Common use of Responsibility for documentation Clause in Contracts

Responsibility for documentation. Neither the Agent nor the Arranger is responsible or liable for: (a) the adequacy, accuracy or completeness of any information (whether oral or written) supplied by the Agent, the Arranger, an Obligor or any other person given in or in connection with any Finance Document or the Lender Presentation or the transactions contemplated in the Finance Documents or any other agreement, arrangement or document; (b) the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or document; or (c) any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Neither the Agent nor the Arranger is responsible or liable for: (a) the adequacy, accuracy or and/or completeness of any information (whether oral or written) supplied by the Agent, the Arranger, an Obligor or any other person given in or in connection with any Finance Document or the Lender Presentation or the transactions contemplated in by the Finance Documents or any other agreement, arrangement or document;Documents; or (b) the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or documentdocument entered into, made or executed in anticipation of or in connection with any Finance Document; or (c) any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Neither the Agent nor the Arranger is responsible or liable forany Arranger: (aA) is responsible for the adequacy, accuracy or and/or completeness of any information (whether oral or written) supplied by the Agent, the an Arranger, an Obligor or any other person given in or in connection with any Finance Document or the Lender Presentation or the transactions contemplated in the Finance Documents or any other agreement, arrangement or documentInformation Memorandum; (bB) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or documentdocument entered into, made or executed in anticipation of or in connection with any Finance Document; or (cC) is responsible for any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Neither None of the Facilities Agent nor the Arranger is responsible or liable forany Arranger: (a) is responsible for the adequacy, accuracy or and/or completeness of any information (whether oral or written) supplied by the Facilities Agent, the an Arranger, an Obligor or any other person given in or in connection with any Finance Document or the Lender Presentation or the transactions contemplated in the Finance Documents or any other agreement, arrangement or documentDocument; (b) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or documentdocument entered into, made or executed in anticipation of or in connection with any Finance Document; or (c) is responsible for any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Responsibility for documentation. Neither the Agent nor the Arranger Arranger: 29.8.1 is responsible or liable for: (a) for the adequacy, accuracy or and/or completeness of any information (whether oral or written) supplied by the Agent, the Arranger, an Obligor or any other person given in or in connection with any Finance Document or the Lender Presentation or the transactions contemplated in the Finance Documents or any other agreement, arrangement or documentDocument; (b) 29.8.2 is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or documentdocument entered into, made or executed in anticipation of or in connection with any Finance Document; or (c) 29.8.3 is responsible for any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Neither the Agent nor the Arranger is responsible or liable for: (a) 69. the adequacy, accuracy or and/or completeness of any information (whether oral or written) supplied by the Agent, the Arranger, an Obligor or any other person given in or in connection with any Finance Document or the Lender Presentation or the transactions contemplated in by the Finance Documents or any other agreement, arrangement or document;Documents; or (b) 70. the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or documentdocument entered into, made or executed in anticipation of or in connection with any Finance Document; or (c) 71. any determination as to whether any information provided or to be provided to any Finance Party is non-public nonpublic information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Neither the Facility Agent nor the Arranger is responsible or liable forArranger: (a1) is responsible for the adequacy, accuracy or and/or completeness of any information (whether oral or written) supplied by the Facility Agent, the Arranger, an Obligor or any other person given in or in connection with any Finance Document or the Lender Presentation or the transactions contemplated in the Finance Documents or any other agreement, arrangement or documentDocument; (b2) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or documentdocument entered into, made or executed in anticipation of or in connection with any Finance Document; or (c3) is responsible for any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Neither the Facility Agent nor the Arranger is responsible or liable forArrangers: (a) 27.8.1. are responsible for the adequacy, accuracy or and/or completeness of any information (whether oral or written) supplied by the Facility Agent, the Arranger, an Obligor or any other person given in or in connection with any Finance Document or the Lender Presentation or the transactions contemplated in the Finance Documents or any other agreement, arrangement or documentDocument; (b) 27.8.2. are responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or documentdocument entered into, made or executed in anticipation of or in connection with any Finance Document; or (c) 27.8.3. are responsible for any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Neither the Agent nor the any Mandated Lead Arranger is responsible or liable for: (a) the adequacy, accuracy or and/or completeness of the Information Package or any information (whether oral or written) supplied by the Agent, the a Mandated Lead Arranger, an Obligor or any other person given in or in connection with any Finance Document or the Lender Presentation or the transactions contemplated in the Finance Documents or any other agreement, arrangement or documentDocument; (b) the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or documentdocument entered into, made or executed in anticipation of, under or in connection with any Finance Document; or (c) any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Neither the Agent nor the Arranger is responsible or liable forMandated Lead Arranger: (a) is responsible for the adequacy, accuracy or and/or completeness of any information (whether oral or written) supplied by the Agent, the Mandated Lead Arranger, an Obligor the Borrower or any other person given in or in connection with any Finance Document or the Lender Presentation or the transactions contemplated in the Finance Documents or any other agreement, arrangement or documentDocument; (b) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or documentdocument entered into, made or executed in anticipation of or in connection with any Finance Document; or (c) is responsible for any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.
