Responsibility for Filing. Although, pursuant to this Agreement, Rockwell or Automotive may be responsible for filing a particular Tax Return, Rockwell and Automotive have agreed that the actual preparation and filing of certain Tax Returns will be done by the non-responsible party. Schedule 2.01 attached hereto sets forth a schedule specifying such Tax Returns. Rockwell and Automotive may agree from time to time to additions or deletions from Schedule 2.01.
