Common use of Responsibility for Others Clause in Contracts

Responsibility for Others. Each of the Parties shall be responsible for the violation of the secrecy and non-use provisions of this Agreement by its directors, officers, employees, agents, professional advisors, consultants, contractors and affiliates. The Purchaser agrees that this Agreement shall be irrevocable by the Purchaser until 5:00 p.m. on the 25th day of May, 2012, after which time, if not accepted by the Vendor, this Agreement shall be null and void and the Deposit, if paid, shall be returned to the Purchaser without interest or deduction.
