Restatement Date Certificate. The Borrower Representative shall have delivered to the Administrative Agent an executed Restatement Date Certificate, together with all attachments thereto, and which shall include certifications to the effect that: (i) since the Original Closing Date, with respect to the U.S. Borrower and its Subsidiaries (taken as a whole), no event, circumstance or change has occurred that has caused, either individually or in the aggregate, a Material Adverse Effect; and (ii) each of the conditions precedent described in this Section 3.01 shall have been satisfied on the Restatement Date (except that no opinion need be expressed as to Administrative Agent’s or Required Lenders’ satisfaction with any document, instrument or other matter).
