Restricted Definitive Securities to Restricted Definitive Securities Sample Clauses

The 'Restricted Definitive Securities to Restricted Definitive Securities' clause governs the transfer or exchange of securities that are classified as 'restricted' and are held in definitive (physical) form. This clause typically specifies that such restricted securities can only be exchanged for other restricted definitive securities, rather than for unrestricted or book-entry forms. For example, if an investor holds a physical certificate of a restricted bond, they may only exchange it for another physical certificate with the same restrictions. The core function of this clause is to maintain the integrity of transfer restrictions, ensuring that securities subject to limitations on resale or transfer do not inadvertently become freely tradable through the exchange process.
