RESTRICTIONS AND PROHIBITIONS. (a) The Customer must not (and must not permit any of its Personnel to): (i) assign, sub-license, transfer, sell, lease, rent, charge or otherwise deal in ProcurePro, make ProcurePro available to any third party or use ProcurePro to provide services to any third party, except as set out in this Agreement, or as otherwise agreed between the parties from time to time; (ii) copy, reproduce, decompile, disassemble, reverse compile or otherwise reverse engineer all or any portion of ProcurePro, including any source code, object code, algorithms, methods or techniques used or embodied therein; or (iii) permit any software or other program to be written or developed based on or derived from ProcurePro; (iv) use ProcurePro: (A) in a way which is offensive, indecent, menacing, a nuisance or defamatory; (B) to send, knowingly receive, upload, download, store, display or use any material which is offensive, abusive, indecent, defamatory, obscene or menacing or which is in breach of copyright, confidence, privacy or any other third party right (including Intellectual Property Rights); (C) in connection with the commission of any criminal offence, in an unlawful or fraudulent manner or in contravention of any legislation, laws, regulations, codes of practice, or licence conditions or in breach of any third party rights (including Intellectual Property Rights); (D) to "spam" or to send or provide unsolicited advertising or promotional material or to knowingly receive responses from "spam" or unsolicited advertising or promotional material sent or provided by the Customer or any third party acting on its behalf; (E) or perform its obligations under this Agreement in a manner that breaches any applicable law; (F) to knowingly upload or make available any virus, other malicious code or corrupt data or otherwise threaten the integrity or security of any computer (including by disclosing passwords); or (G) in a way that has a material adverse effect on any telecommunications network. (b) The Customer must comply with, and must ensure that Users that are its Personnel comply with, the Acceptable Use Policy.

The Tenant hereby agrees with the Landlord as follows:- (a) Not without the previous written consent of the Landlord to erect, install, alter, affix, attach or build or permit or suffer to be erected, installed, altered, affixed, attached or built any fixtures and fittings, partitionings, architectural features, air-conditioning units or plants, radio or television aerials or other erections or fixtures and fittings or equipment or installations of any kind in the said premises or the said building or upon the roofs or through the windows or external walls thereof or any other part or parts thereof or without the like consent to make or permit or suffer to be made installations in or alterations or additions to the sprinkler system or any other fire protection or fire fighting system, equipment or apparatus or security system, equipment or apparatus, electrical/gas wiring/piping, air-conditioning ducting, lighting, fixtures and fittings or other Landlord’s fixtures and fittings or the furnishings or installations or to install or place or permit or suffer to be installed or placed any safe, equipment, furniture, plant, object, goods, apparatus or machinery which may impose a weight on any part of the flooring in excess of that for which it is designed or which requires any additional electrical/gas mains/ wiring/piping or which may consume electricity/gas not metered through the Tenant’s separate meter. In the event of breach of this covenant, the Tenant shall keep the Landlord fully indemnified against all loss, damages, claims and demands as a result thereof and shall make good any damage caused thereby to that part of the said building or any fixtures and fittings therein provided that the indemnification and the making good of such damage as aforesaid shall be without prejudice to any further right competent to the Landlord by virtue of such breach. For the avoidance of doubt, the Tenant shall comply with the directions and instructions of the Landlord regarding installation of all permitted erections fixtures and fittings equipment and shall at its own expense be responsible for their periodic inspection, maintenance and repair and for the replacement of defective wiring and parts and the Tenant shall be strictly liable for any damage caused by the installation, operation, defect or removal of the same. RESTRICTIONS AND PROHIBITIONS. 5.1 You shall not: (i) analyse, decompile, “unlock,” decode, disassemble, reverse engineer, reverse translate or attempt to discover or reconstruct any source code of the Software for any purpose, nor shall You cause a third party to do so; (ii) attempt to disable, tamper with or bypass the Licence Key system or any other licence enforcement technology incorporated into the Software; (iii) copy, reproduce, modify, adapt, improve, enhance, translate or create derivative works based on the Software or any accompanying materials; (iv) violate any applicable laws, rules or regulations in connection with Your use of the Software, or use the Software other than in accordance with the instructions or documentation provided by Modality Systems; (v) remove, alter or obscure any watermark or proprietary notice (including any notice of copyright or trademark) of Modality Systems or its affiliates and partners; (vi) use the Software for creating a product, service or software that is, directly or indirectly, competitive with or in any way a substitute for any services, product or software offered by Modality Systems; or (vii) distribute, resell or permit access to the Software by any third party. 5.2 The Software may be installed on any number of computers, provided that the number of users You allow to use the Software does not exceed the number of Licences granted from Modality Systems, as stated in Your Software Documentation.
RESTRICTIONS AND PROHIBITIONS. The Landlord hereby agrees with the Tenant as follows:- (a) Not without the previous written consent of the Landlord (such consent not unreasonably withheld or delayed) to erect, install or alter any fixtures, partitioning or other structural erection or installation in the said premises or any part thereof or without the like consent to make or permit or suffer to be made alterations in or additions to the electrical wiring and installation or to install or permit or suffer to be installed any equipment, apparatus or machinery which imposes a weight on any part of the flooring in excess of that for which it is designed or which requires any additional electrical main wiring or which consumes electricity not metered through the Tenant’s separate meter. The Landlord shall be entitled to prescribe the maximum weight and permitted location of safes and other heavy equipment and to require that the same stand on supports of such dimensions and material to distribute the weight as the Landlord may deem necessary. (b) In carrying out any approved work hereunder, the Tenant shall and shall cause its servants agents contractors and workmen to co-operate fully with the Landlord and all servants agents and workmen of the Landlord and with other tenants or contractors carrying out any work on the said building. The Tenant its servants agents and workmen shall obey and comply with all instructions and directions which may be reasonably given by the Landlord’s authorised representative in connection with the carrying out of such work. (c) In carrying out any work to the electrical installation, air conditioning, fire services and/or wiring, the Tenant shall use only a contractor approved by the Landlord in writing for the purpose (such approval not unreasonably withheld or delayed). 2. Not without the previous written consent of the Landlord (such consent not unreasonably withheld or delayed) to cut, maim, injure, drill into mark or deface any doors, windows, walls, beams, structural members or any part of the fabric of the said premises nor any of the plumbing or sanitary apparatus or installations included therein. 3. Transactions with current or prospective related parties (“self dealing”), including individuals employed by a Party, and a parent or affiliated company of a Party, are prohibited. Securities lending will not be considered a “self dealing” transaction. 2. The average credit quality of a Trust’s fixed income securities will be rated an equivalent “A2/A/A” or higher by Moody’s, S&P, or Fitch respectively. If all three rating agencies rate a security, the middle rating will be used. When two agencies rate a security, the lower rating will be used. If the security is not rated by one of the three rating agencies listed above, the investment manager’s internal rating will be used. The market value of unrated securities cannot exceed 5% of the aggregate market value of a Trust’s fixed income allocation. Cash and cash equivalent securities will be rated an equivalent “Aaa/AAA/AAA” or “P-1, A-1, F1” by Moody’s, S&P, or Fitch respectively. 3. Securities lending is permitted, provided that the program’s collateral investment vehicle complies with the standards for Permitted Investments contained herein.
