Common use of Restrictions on Assignments Clause in Contracts

Restrictions on Assignments. Borrower shall not assign its rights hereunder or any interest herein without the prior written consent of the Lender. Lender may, in the ordinary course of its business and in accordance with applicable law, assign any or all of its rights and obligations under this Agreement, under any Loan pursuant to this Agreement or under the other Facility Documents, to any of its Affiliates or Subsidiaries and, with each Borrower’s prior written consent, any bank or other entity; provided, that (i) such assignment is approved by the Applicable Agency, and (ii) each Borrower, the Applicable Agency and the related assignee enter into an acknowledgement agreement in which the Applicable Agency acknowledges the related security interest of such assignee in the related Servicing Contract.
