Sale of Unit or Location. In the event that, after the Effective Date, Forest proposes to sell any or all of its business units or locations related to the Promotional and Product Services-Related Functions or Regulatory Related Functions, Forest shall notify OIG of the proposed sale no later than five days after the date the sale is publicly disclosed by Forest. This notification shall include a description of the business unit or location to be sold, a brief description of the terms of the sale, and the name and contact information of the prospective purchaser. This CIA shall be binding on the purchaser of such business unit or location, unless otherwise determined and agreed to in writing by the OIG.
