Common use of Satisfactory Performance Clause in Contracts

Satisfactory Performance. 21.1 Payments made pursuant to Clause 17.1 are subject to the satisfactory performance by the Supplier of its obligations under the Contract as determined by the DFID Project Officer in addition to verification by the DFID Project Officer that all prior payments made to the Supplier under this Contract were properly due. 21.2 If for any reason the Services are not provided in accordance with this Contract, or DFID is dissatisfied with the performance of this Contract, DFID, without prejudice to any other rights or remedies howsoever arising, shall be entitled to withhold payment of the applicable Charges for the Services that were not so provided until such time as the applicable Services are provided in accordance with this Contract. 21.3 Should DFID determine after paying for a particular part of the Services that this has not been provided in accordance with this Contract, DFID may recover, or withhold from further payments, an amount not exceeding the applicable Charges paid for that part of the Service until the unsatisfactory part of the Services is remedied to DFID’ satisfaction.

In such event DFID shall identify the particular element(s) of the Services with which it is dissatisfied together with the reasons for such dissatisfaction, without prejudice to any other rights or remedies howsoever arising, and payment by DFID shall be entitled made to withhold payment the Supplier of the applicable Charges for the Services that were not so provided until such time as the applicable Services are provided in accordance with this Contractamount outstanding will be made upon remedy of any unsatisfactory work or resolution of outstanding queries. 21.3 17.3 Should DFID determine after paying for a particular part of the Services that this has not been provided in accordance with this Contractcompleted satisfactorily, DFID may recover, or withhold from further payments, an amount not exceeding the applicable Charges paid that previously charged for that part of the Service until the unsatisfactory part of the Services Service is remedied to DFID’ its satisfaction.
