SCOPE OF FRAMEWORK AGREEMENT. 3.1 Without prejudice to Clause 42 (Third Party Rights), this Framework Agreement governs the relationship between the Authority and the Supplier in respect of the provision of the Goods and/or Services by the Supplier. 3.2 The Supplier acknowledges and agrees that: 3.2.1 there is no obligation whatsoever on the Authority or on any Other Contracting Body to invite or select the Supplier to provide any Goods and/or Services and/or to purchase any Goods and/or Services under this Framework Agreement and 3.2.2 in entering into this Framework Agreement no form of exclusivity has been conferred on the Supplier nor volume or value guarantee granted by the Authority and/or Other Contracting Bodies in relation to the provision of the Goods and/or Services by the Supplier and that the Authority and Other Contracting Bodies are at all times entitled to enter into other contracts and agreements with other suppliers for the provision of any or all goods and/or services which are the same as or similar to the Goods and/or Services. 3.3 In the event that any Other Contracting Body makes an approach to the Supplier with a request for the supply of Equivalent Goods and/or Services, the Supplier shall promptly and in any event within five (5) Working Days of the request by the Other Contracting Body, and before any supply of Equivalent Goods and/or Services is made, inform such Other Contracting Body of the existence of this Framework and the Other Contracting Body’s ability to award Call Off Agreements for Goods and/or Services pursuant to this Framework Agreement.

SCOPE OF FRAMEWORK AGREEMENT. 3.1 Without prejudice to Clause 42 39 (Third Party Rights), this Framework Call off Agreement governs the relationship between the Authority Commissioner and the Supplier in respect of the provision of the Goods and/or Services by the Supplier. 3.2 The Supplier acknowledges and agrees that: 3.2.1 there is no obligation whatsoever on the Authority Commissioner or on any Other Contracting Body to invite or select the Supplier to provide any Goods and/or Services and/or to purchase any Goods and/or Services under this Framework Call off Agreement and 3.2.2 in entering into this Framework Call off Agreement no form of exclusivity has been conferred on the Supplier nor volume or value guarantee granted by the Authority Commissioner and/or Other Contracting Bodies in relation to the provision of the Goods and/or Services by the Supplier and that the Authority Commissioner and Other Contracting Bodies are at all times entitled to enter into other contracts and agreements with other suppliers for the provision of any or all goods and/or services which are the same as or similar to the Goods and/or Services. 3.3 In the event that any Other Contracting Body makes an approach to the Supplier with a request for the supply of Equivalent Goods and/or Services, the Supplier shall promptly and in any event within five (5) Working Days of the request by the Other Contracting Body, and before any supply of Equivalent Goods and/or Services is made, inform such Other Contracting Body of the existence of this Framework Call off Agreement and the Other Contracting Body’s ability to award Call Off Agreements for Goods and/or Services pursuant to this the Framework Agreement.

In the event that any Other Contracting Body Authority makes an approach to the Supplier with a request for the supply of Equivalent Goods and/or Services, the Supplier shall promptly and in any event within five (5) Working Days of the request by the Other Contracting BodyAuthority, and before any supply of Equivalent Goods and/or Services is made, inform such Other Contracting Body Authority of the existence of this Framework and the Other Contracting BodyAuthority’s ability to award Call Off Agreements for Goods and/or Services pursuant to this Framework Agreement. If the Authority or any Other Contracting Authority decides to source any of the Goods and/or Services through this Framework Agreement, then it shall be entitled at any time in its absolute and sole discretion during the Framework Period.

The Supplier shall keep written records for the Framework Period, of the reasons for supplying Other Contracting Bodies with Equivalent Goods and/or Services not pursuant to this Framework Agreement.
