SCOPE OF FRAMEWORK AGREEMENT. 4.1 This Framework Agreement governs the relationship between the Authority and the Supplier in respect of the provision of the Services by the Supplier to the Authority and to Other Contracting Bodies. 4.2 The Authority and (subject to the following provisions of this Clause 4.2) Other Contracting Bodies may at their absolute discretion and from time to time order Services from the Supplier in accordance with the Ordering Procedure during the Term. The Parties acknowledge and agree that the Other Contracting Bodies have the right to order Services pursuant to this Framework Agreement provided that they comply at all times with all Laws (including, but not limited to, the Regulations and the Guidance) and the Ordering Procedure. If there is a conflict between Clause 7 and the Regulations and the Guidance, the Other Contracting Body shall comply with the Regulations and the Guidance. 4.3 The Supplier acknowledges that there is no obligation for the Authority and for any Other Contracting Body to purchase any Services from the Supplier during the Term. 4.4 No undertaking or any form of statement, promise, representation or obligation shall be deemed to have been made by the Authority and/or any Other Contracting Body in respect of the total quantities or values of the Services to be ordered by them pursuant to this Framework Agreement and the Supplier acknowledges and agrees that it has not entered into this Framework Agreement on the basis of any such undertaking, statement, promise or representation.

SCOPE OF FRAMEWORK AGREEMENT. 4.1 This Framework Agreement governs the relationship between the Authority I-Flair Members and the Supplier Contractor in respect of the provision of the Services by the Supplier Contractor to the Authority I-Flair Members and to Other Contracting Bodies. 4.2 The Authority I-Flair Members and (subject to the following provisions of this Clause 4.2) Other Contracting Bodies may at their absolute discretion and from time to time order Services from the Supplier Contractor in accordance with the Ordering Procedure Procedures during the Term. The Parties acknowledge and agree that the Other Contracting Bodies have the right to order Services pursuant to this Framework Agreement provided that they comply at all times with all Laws (including, but not limited to, the Regulations and the Guidance) and the Ordering ProcedureProcedures. If there is a conflict between Clause 7 and the Regulations and the Guidance, the Other Contracting Body shall comply with the Regulations and the Guidance. 4.3 The Supplier Contractor acknowledges that there is no obligation for the Authority I-Flair Members and for any Other Contracting Body to purchase any Services from the Supplier Contractor during the Term. 4.4 No undertaking or any form of statement, promise, representation or obligation (whether express or implied) shall be deemed to have been made by any of the Authority I-Flair Members and/or any Other Contracting Body in respect of the total quantities or values of the Services to be ordered by them pursuant to this Framework Agreement and the Supplier Contractor acknowledges and agrees that it has not entered into this Framework Agreement on the basis of any such undertaking, statement, promise or representation. 4.5 At all times during the Term the Contractor is an independent contractor and nothing in this Framework Agreement establishes a contract of employment, a relationship of agency or partnership or a joint venture between or among any of the Parties. Accordingly, no Party is authorised to act in the name of, or on behalf of, or otherwise bind any other Party save as expressly permitted by the terms of this Framework Agreement.

The Parties acknowledge and agree that the Other Contracting Bodies have the right to order Services pursuant to this Framework Agreement provided that they comply at all times with all Laws (including, but not limited to, the Regulations and the Guidance) and the Ordering Procedure. If there is a conflict between Clause Schedule 7 and the Regulations and the Guidance, the Other Contracting Body shall comply with the Regulations and the Guidance. 4.3 . The Supplier Provider acknowledges that there is no obligation for whatsoever on the Authority and for or on any Other Contracting Body to purchase any Services from the Supplier Provider during the Term. 4.4 . No undertaking or any form of statement, promise, representation or obligation shall be deemed to have been made by the Authority and/or and any Other Contracting Body in respect of the total quantities or values of the Goods and/or Services to be ordered by them pursuant to this Framework Agreement and the Supplier Provider acknowledges and agrees that it has not entered into this Framework Agreement on the basis of any such undertaking, statement, promise or representation.

SCOPE OF FRAMEWORK AGREEMENT. 4.1 6.1 This Framework Agreement governs the relationship between the Authority and the Supplier in respect of the provision of the Services by the Supplier to the Authority and to Other Contracting BodiesAuthority. 4.2 6.2 The Authority appoints the Supplier as a Framework Provider of the Services and (subject the Supplier shall be eligible to receive Orders for such Services from the following provisions of this Clause 4.2) Other Contracting Bodies may Authority during the Term. 6.3 The Authority may, at their its absolute discretion and from time to time time, order Services from the Supplier in accordance with the Ordering Procedure ordering procedure set out in Schedule 4 during the Term. If there is a conflict between Clause 7 Schedule 4 and the Regulations and the GuidanceRegulations, the Other Contracting Body Regulations shall take precedence. 6.4 If and to the extent that any Services under this Agreement are required the Authority shall: (a) enter into an agreement with the Supplier for these Services materially in accordance with the terms of the Agreement; and (b) comply with the Regulations and the Guidanceordering procedure in Schedule 4. 4.3 6.5 The Supplier acknowledges that there is that, in entering this Agreement, no obligation form of exclusivity or volume guarantee has been granted by the Authority for the Services and that the Authority is at all times entitled to enter into other contracts and arrangements with other suppliers for the provision of any or all services which are the same as or similar to the Services. 6.6 The Authority shall not in any circumstances be liable to the Supplier or any Other Contracting Body to purchase for payment or otherwise in respect of any Services from provided by the Supplier during the Term. 4.4 No undertaking or any form of statement, promise, representation or obligation shall be deemed to have been made by the Authority and/or any Other Contracting Body in respect of the total quantities or values of the Services to be ordered by them pursuant to this Framework Agreement and the Supplier acknowledges and agrees that it has not entered into this Framework Agreement on the basis of any such undertaking, statement, promise or representationBody.

The Authority AUTHORITY and (subject to the following provisions of this Clause 4.2) Other Contracting Bodies may at their absolute discretion and from time to time order Services from the Supplier SERVICE PROVIDER in accordance with the Ordering Procedure during the Term. The Parties acknowledge and agree that the Other Contracting Bodies have the right to order Services pursuant to this Framework Agreement provided that they comply at all times with all Laws (including, but not limited to, the Regulations and the Guidance) and the Ordering Procedure. If there is a conflict between Clause 7 and the Regulations and the Guidance, the Other Contracting Body shall comply with the Regulations and the Guidance. 4.3 4.3. The Supplier SERVICE PROVIDER acknowledges that there is no obligation for the Authority AUTHORITY and for any Other Contracting Body to purchase any Services from the Supplier SERVICE PROVIDER during the Term. 4.4 4.4. No undertaking or any form of statement, promise, representation or obligation shall be deemed to have been made by the Authority AUTHORITY and/or any Other Contracting Body in respect of the total quantities or values of the Services to be ordered by them pursuant to this Framework Agreement and the Supplier SERVICE PROVIDER acknowledges and agrees that it has not entered into this Framework Agreement on the basis of any such undertaking, statement, promise or representation.

SCOPE OF FRAMEWORK AGREEMENT. 4.1 This Framework Agreement governs the relationship between the Authority I-Flair Members and the Supplier Contractor in respect of the provision of the Services by the Supplier Contractor to the Authority I-Flair Members and to Other Contracting Bodies. The I-Flair Members reserve the right to introduce key performance indicators (KPI’s) in consultation with the Contractor during the Term. 4.2 The Authority I-Flair Members and (subject to the following provisions of this Clause 4.2) Other Contracting Bodies may at their absolute discretion and from time to time order Services from the Supplier Contractor in accordance with the Ordering Procedure Procedures during the Term. The Parties acknowledge and agree that the Other Contracting Bodies have the right to order Services pursuant to this Framework Agreement provided that they comply at all times with all Laws (including, but not limited to, the Regulations and the Guidance) and the Ordering ProcedureProcedures. If there is a conflict between Clause 7 and the Regulations and the Guidance, the Other Contracting Body shall comply with the Regulations and the Guidance. 4.3 The Supplier Contractor acknowledges that there is no obligation for the Authority I-Flair Members and for any Other Contracting Body to purchase any Services from the Supplier Contractor during the Term. 4.4 No undertaking or any form of statement, promise, representation or obligation shall be deemed to have been made by any of the Authority I-Flair Members and/or any Other Contracting Body in respect of the total quantities or values of the Services to be ordered by them pursuant to this Framework Agreement and the Supplier Contractor acknowledges and agrees that it has not entered into this Framework Agreement on the basis of any such undertaking, statement, promise or representation.

The Parties acknowledge and agree that the Other Contracting Bodies have the right to order Services pursuant to this Framework Agreement provided that they comply at all times with all Laws (including, but not limited to, the Regulations and the Guidance) and the Ordering Procedureordering procedure in Clause 4.1. The Supplier Provider acknowledges that there is no obligation for the Authority and whatsoever for any Other Contracting Body to purchase any Services from the Supplier Provider during the Term. 4.4 . No undertaking or any form of statement, promise, representation or obligation shall be deemed to have been made by the Authority and/or and any Other Contracting Body in respect of the total quantities or values of the Services to be ordered by them pursuant to this Framework Agreement and the Supplier Provider acknowledges and agrees that it has not entered into this Framework Agreement on the basis of any such undertaking, statement, promise or representation.
