Common use of Scope of Transfer Clause in Contracts

Scope of Transfer. If the Wet Plant is to be transferred to Seller pursuant to Section 22.1 or Section 22.2, the transfer of the Wet Plant to Seller shall be undertaken as follows: (a) SSS shall assign to Seller the Wet Plant, (b) SSS shall assign to Seller the D/B Contract, not to include any liabilities of SSS to D/B Contractor arising prior to the date of assignment, and (c) SSS shall assign to Seller all related books and records, any materials, real property interests, intellectual property interests, warranties, and related assets associated with the Wet Plant (collectively, the “Handover Assets”).
