Section 1445 Affidavit Sample Clauses
A Section 1445 Affidavit is a legal document used in real estate transactions to certify that the seller is not a foreign person under U.S. tax law. Typically, the seller provides this affidavit to the buyer to confirm their status, thereby relieving the buyer of the obligation to withhold a portion of the sales proceeds for potential tax liability to the IRS. The core function of this clause is to ensure compliance with federal tax withholding requirements and to protect the buyer from penalties by documenting the seller’s status.
