Common use of Section 202 Clause in Contracts

Section 202. The Issuer hereby accepts the resignation of the Resigning Trustee as Trustee, Registrar and Paying Agent under the Indenture. Pursuant to the applicable provisions of the Indenture, the Issuer hereby appoints the Successor Trustee as Trustee, Registrar and Paying Agent under the Indenture and confirms to the Successor Trustee all the rights, powers and duties of the Resigning Trustee under the Indenture (except as set forth in Section 103 hereof). The Issuer shall execute and deliver such further instruments and shall do such other things as the Successor Trustee may reasonably require so as to more fully and certainly vest in and confirm to the Successor Trustee all the rights, powers, and duties hereby assigned, transferred, delivered and confirmed to the Successor Trustee.

Section 202. The Issuer hereby accepts the resignation of the Resigning Trustee as Trustee, Registrar and Registrar, Paying Agent and Notes Custodian under the Indenture. Pursuant to the applicable provisions Section 7.08 of the Indenture, the Issuer hereby appoints the Successor Trustee as Trustee, Registrar and Paying Agent Trustee under the Indenture and confirms to the Successor Trustee all the rights, powers and duties of the Resigning Trustee under the Indenture (except and with respect to all property held or to be held under the Indenture, with like effect as set forth in Section 103 hereof)if the Successor Trustee was originally named as Trustee under the Indenture. The Issuer shall execute and deliver such further instruments and shall do such other things as the Successor Trustee may reasonably require so as to more fully and certainly vest in and confirm to in the Successor Trustee all the rights, powers, powers and duties hereby assigned, transferred, delivered and confirmed to the Successor Trustee.

Pursuant to the applicable provisions Section 7.8 of the Indenture, the Issuer hereby appoints the Successor Trustee as Trustee, Registrar and Paying Agent Trustee under the Indenture and confirms to the Successor Trustee all the rights, powers and duties of the Resigning Trustee under the Indenture (except and with respect to all property held or to be held under the Indenture, with like effect as set forth in Section 103 hereof)if the Successor Trustee was originally named as Trustee under the Indenture. The Issuer shall execute and deliver such further agreements and other instruments and shall do such other things as may be necessary to effectuate the succession of the Successor Trustee may reasonably require so as to more fully Trustee, Registrar, Agent and certainly vest in and confirm to Paying Agent under the Successor Trustee all the rights, powers, and duties hereby assigned, transferred, delivered and confirmed to the Successor TrusteeIndenture.

Pursuant to the applicable provisions Section 610 of the Indenture, the Issuer hereby appoints the Successor Trustee as Trustee, Registrar and Paying Agent Trustee for all of the Securities under the Indenture and confirms to the Successor Trustee all the rights, powers powers, trusts and duties of the Resigning Trustee under the Indenture (except as set forth in Section 103 hereof)and with respect to all property and money held or to be held under the Indenture. The Issuer shall execute and deliver such further instruments and shall do such other things as the Successor Trustee may reasonably require so as to more fully and certainly vest in and confirm to in the Successor Trustee all the rights, powers, trusts and duties hereby assigned, transferred, delivered and confirmed to the Successor Trustee.

Pursuant to the applicable provisions Section 610(e) of the Indenture, the Issuer hereby appoints the Successor Trustee as Trustee, Registrar and Paying Agent Trustee under the Indenture and confirms to the Successor Trustee all the rights, powers powers, trusts and duties of the Resigning Trustee under the Indenture (except as set forth in Section 103 hereof)and with respect to all property and money held or to be held under the Indenture. The Issuer shall execute and deliver such further instruments and shall do such other things as the Successor Trustee may reasonably require so as to more fully and certainly vest in and confirm to in the Successor Trustee all the rights, powers, trusts and duties hereby assigned, transferred, delivered and confirmed to the Successor Trustee.
