Separate Payment. In consideration of the Consultant's release and agreements set forth in Section 6 below, the Company shall pay the Consultant, the one-time payment specified in Exhibit 4 (the "Separate Payment"), which Separate Payment shall be due and payable in equal installments over a 12-month period in accordance with the Company's payroll policy, subject to Section 5 below.
