Common use of Separate Payment Clause in Contracts

Separate Payment. In consideration of the Executive's agreements and release set forth in Section 6 below, the Company shall pay the Executive, the one-time payment specified in Exhibit 4 (the "Separate Payment"), which Separate Payment shall be due and payable at Closing, subject to Section 5 below.
