Service and location. 8.1. The Company shall provide the Service at the Location(s) in accordance with the Agreement. 8.2. You must promptly supply the Company with all information and materials reasonably required by the Company to supply the Service. 8.3. The Company shall use the reasonable skill and care of a competent IT Company in providing the Service. However You accept that it is technically impracticable to provide the Service entirely free of faults and the Company does not undertake to do so. 8.4. The Company shall use reasonable endeavours to meet such general service levels in relation to a particular Service as the Company publishes from time to time. However, save as expressly stated in such published service levels, the Company shall have no liability for any failure to meet any such service levels.
Service and location. The services to be rendered by -------------------- Executive hereunder are set forth in Schedule I attached hereto and by this reference incorporated herein, which includes a description and, if applicable, a title of Executive's position or positions with the Employer and/or its subsidiaries under this Agreement and which specifies his reporting responsibilities. During the term of Executive's employment under this Agreement, the Employer shall not assign to Executive any duties or responsibilities that are inconsistent with his position, duties, responsibilities or status specified in Schedule I hereto, or adversely change (from Executive's perspective) Executive's reporting responsibilities, position or title specified in Schedule I or take any other action which results in a material diminution in such position, authority, duties or responsibilities. Executive shall perform such services at the Employer's principal executive offices in Irwindale, California or in such other place in reasonable proximity to Irwindale, California to which the Employer's principal executive offices may be relocated; provided, however, that Executive agrees to perform a reasonable -------- ------- amount of services on behalf of the Employer outside of the Los Angeles area (which amount may not exceed, at any time during the months following a Change in Control (as hereinafter defined in Section 9(b)), fifteen (15) calendar days in any calendar quarter); and provided, further, that during -------- ------- the months following a Change in Control the Employer shall not be entitled to relocate its principal executive offices to a site that is more than thirty (30) miles from Irwindale, California without regard to whether such site would be considered to be within reasonable proximity of Irwindale, California.

  • Data Location 1.1. The CONTRACTOR shall not store or transfer non-public COUNTY data outside of the United States. This includes backup data and Disaster Recovery locations. The CONTRACTOR will permit its personnel and contractors to access COUNTY data remotely only as required to provide technical support. (Remote access to data from outside the continental United States is prohibited unless approved in advance and in writing by the County.) 1.2. The CONTRACTOR must notify the COUNTY in advance and in writing of any location changes to CONTRACTOR’s data center(s) that will process or store County data.

  • Service Area (a) SORACOM shall provide the SORACOM Air Global Service within the area designated on the web site of SORACOM (the “Service Area”), provided, that, the Service Area may be different if stated otherwise as specified by SORACOM separately. However, within the Service Area, you may not use the SORACOM Air Global Service in places where transmissions are difficult to send or receive. (b) The parties of this Agreement acknowledge that there may be countries or locations within which SORACOM may be restricted from providing the SORACOM Air Global Service due to applicable laws, regulations, decisions, rules or orders (“Restrictions”). During the Term, SORACOM will use reasonable efforts to monitor whether there are any such Restrictions. SORACOM may in its sole discretion and at any time, suspend, discontinue, limit, or modify the SORACOM Air Global Service or impose additional requirements on the provision of the SORACOM Air Global Service, as may be reasonably required to comply with any such Restrictions. (c) In no event will SORACOM be required to provide the SORACOM Air Global Service in countries or locations, or in a manner that would be in violation of the Restrictions and its failure to provide the SORACOM Air Global Service due to the Restrictions will not be deemed to be a breach of its obligations under this Agreement. (d) In the event that any Restriction, or any change in applicable law, regulation, decision, rule or order materially or adversely affects the delivery of the SORACOM Air Global Service (including the economic viability thereof), SORACOM will notify Subscribers in writing and the parties will negotiate in good faith regarding changes to this Agreement. If the parties cannot reach agreement within 30 days after notification from SORACOM requesting renegotiation, SORACOM may terminate the Agreement upon 30 days’ written notice to the Subscriber.

  • Work Location While employed by the Company hereunder, the Executive shall perform his duties (when not traveling or engaged elsewhere in the performance of his duties) at the offices of the Company in Bermuda. The Executive shall travel to such places on the business of the Company in such manner and on such occasions as the Company may from time to time reasonably require.

  • Service Areas HHSC authorizes the MA Dual SNP to add the MA Product to Texas service areas that are not identified in Attachment C, Proposed MA Product Service Areas, provided it receives prior CMS approval and complies with the notice requirements specified in this Agreement.

  • Service Location The services shall be performed at all contracting and participating facilities of the Contractor.
