Common use of Services Availability Clause in Contracts

Services Availability. SELLER shall make Services available for access and use by End User 24 hours per day, 7 days per week, excluding any Scheduled Downtime or downtime due to a Force Majeure event, as defined above. The monthly Services Availability Performance Standard for the UIP or UIP on BLUE APIs is 99.9%. Services Availability is calculated by subtracting from 100% the result of the number of minutes of Unscheduled Downtime for an Affected Services in a calendar month divided by the total number of minutes in such calendar month. If the monthly Services Availability is less than 99.9%, and the End User qualifies for Services Level Credits, Services Level Credits are provided under Section 7 below.
