Common use of Severability and Choice of Law Clause in Contracts

In the event that any provision of this Agreement is deemed invalid by reason of the operation of any law, or by reason of any interpretation placed on any law by the courts, this Agreement will be construed as not containing such provision and the remainder of the Agreement shall remain in full force and effect. This Agreement has been transmitted by Seller to Purchaser at Purchaser's office in the State of California and has been executed and accepted by Purchaser in me State of California. This Agreement shall be governed by and interpreted in accordance with the laws of the State of California.
